Welcome to UTSAV PASS\u2122! We’re excited to help you sell tickets and manage your events. This agreement explains your responsibilities and our relationship.<\/p>\n

    You’re in charge<\/strong>: You control your event\u2014dates, pricing, tickets, policies. We provide the tools.<\/p>\n<\/li>\n

    You’re responsible for everything event-related<\/strong>: What happens at your event, attendee safety, refunds, and legal compliance are your responsibility.<\/p>\n<\/li>\n

  • \n

    We handle payments<\/strong>: Ticket money goes into your account (minus fees) after the event or as agreed.<\/p>\n<\/li>\n

  • \n

    Follow the rules<\/strong>: Your events must comply with all laws and our policies.<\/p>\n<\/li>\n

  • \n

    Be honest<\/strong>: Don’t mislead attendees about what they’re getting.<\/p>\n<\/li>\n

  • \n

    Have insurance<\/strong>: We strongly recommend public liability insurance.<\/p>\n<\/li>\n<\/ul>\n

    PART B: LEGAL TERMS AND CONDITIONS<\/h2>\n

    1. ORGANIZER STATUS AND RESPONSIBILITIES<\/h3>\n

    1.1 Independent Organizer Status<\/h4>\n

    1.1.1<\/strong>\u00a0You acknowledge and agree that:<\/p>\n

      You are an independent organizer, not an employee, agent, joint venturer, or partner of UTSAV PASS\u2122<\/p>\n<\/li>\n

      UTSAV PASS\u2122 provides technology services only<\/p>\n<\/li>\n

      You have sole responsibility for all aspects of your event<\/p>\n<\/li>\n<\/ul>\n

      1.1.2<\/strong>\u00a0Nothing in this Agreement creates any fiduciary, partnership, or employment relationship between you and UTSAV PASS\u2122.<\/p>\n

      1.2 Organizer Representations and Warranties<\/h4>\n

      You represent and warrant that:<\/p>\n

        (a) You have the legal right, authority, and capacity to enter into this Agreement and to organize the event(s) you list<\/p>\n<\/li>\n

        (b) If you are organizing on behalf of an entity, you are authorized to bind that entity<\/p>\n<\/li>\n

        (c) All information you provide about your event is accurate, complete, and not misleading<\/p>\n<\/li>\n

      • \n

        (d) Your event and its promotion comply with all applicable laws, regulations, and permits<\/p>\n<\/li>\n

      • \n

        (e) You have obtained all necessary licenses, permissions, and consents (including venue, music licensing, alcohol permits, etc.)<\/p>\n<\/li>\n

      • \n

        (f) Your event does not infringe any third-party intellectual property rights<\/p>\n<\/li>\n

      • \n

        (g) You will honor all tickets sold and fulfill all promises made to attendees<\/p>\n<\/li>\n

      • \n

        (h) You will comply with our refund and cancellation policies as disclosed to buyers<\/p>\n<\/li>\n

      • \n

        (i) You will not engage in fraudulent, deceptive, or unlawful practices<\/p>\n<\/li>\n<\/ul>\n

        \n

        2. EVENT LISTING AND TICKET SALES<\/h3>\n

        2.1 Creating Event Listings<\/h4>\n

        2.1.1<\/strong>\u00a0You are solely responsible for the content of your event listings, including:<\/p>\n

          Event name, description, date, time, and location<\/p>\n<\/li>\n

        • \n

          Ticket types, pricing, and availability<\/p>\n<\/li>\n

        • \n

          Images, videos, and promotional materials<\/p>\n<\/li>\n

          Age restrictions, entry requirements, and policies<\/p>\n<\/li>\n

        • \n

          Cancellation and refund policy<\/p>\n<\/li>\n<\/ul>\n

          2.1.2<\/strong>\u00a0Your event listing must:<\/p>\n

            Be accurate and not misleading<\/p>\n<\/li>\n

          • \n

            Not contain prohibited content (hate speech, illegal activities, etc.)<\/p>\n<\/li>\n

          • \n

            Not infringe third-party rights<\/p>\n<\/li>\n

          • \n

            Comply with all applicable laws<\/p>\n<\/li>\n<\/ul>\n

            2.1.3<\/strong>\u00a0UTSAV PASS\u2122 reserves the right to:<\/p>\n

              Review event listings<\/p>\n<\/li>\n

            • \n

              Remove or refuse any listing that violates these Terms<\/p>\n<\/li>\n

            • \n

              Require modifications to listings<\/p>\n<\/li>\n

            • \n

              Suspend or terminate accounts for violations<\/p>\n<\/li>\n<\/ul>\n

              2.2 Ticket Pricing and Fees<\/h4>\n

              2.2.1<\/strong>\u00a0You set the ticket prices for your event.<\/p>\n

              2.2.2<\/strong>\u00a0UTSAV PASS\u2122 charges fees for its services:<\/p>\n

                  2.3.2<\/strong>\u00a0UTSAV PASS\u2122 provides real-time inventory tracking. You acknowledge that:<\/p>\n

                    Ticket sales are final once processed<\/p>\n<\/li>\n

                  • \n

                    Over-selling is your responsibility (set accurate inventory)<\/p>\n<\/li>\n

                  • \n

                    Waitlists (if enabled) are managed through the platform<\/p>\n<\/li>\n<\/ul>\n

                    \n

                    3. PAYMENTS AND DISBURSEMENTS<\/h3>\n

                    3.1 Collection of Funds<\/h4>\n

                    3.1.1<\/strong>\u00a0UTSAV PASS\u2122 collects all ticket payments on your behalf.<\/p>\n

                    3.1.2<\/strong>\u00a0Funds are held in segregated accounts separate from UTSAV PASS\u2122 operating funds.<\/p>\n

                    3.1.3<\/strong>\u00a0You acknowledge that UTSAV PASS\u2122 is not a bank and funds are not insured by any deposit protection scheme beyond what your bank provides.<\/p>\n

                    3.2 Disbursement Schedule<\/h4>\n

                    3.2.1<\/strong>\u00a0Standard disbursement: Net proceeds (gross sales less fees) are paid to you\u00a0within 5-7 business days after the event ends<\/strong>, subject to:<\/p>\n

                      No unresolved disputes or chargebacks<\/p>\n<\/li>\n

                    • \n

                      Compliance with refund\/cancellation policies<\/p>\n<\/li>\n

                      3.2.2<\/strong>\u00a0Rolling disbursement (for recurring organizers): Payments may be made on a regular schedule (weekly\/monthly) for ongoing sales.<\/p>\n

                      3.2.3<\/strong>\u00a0Holdback: UTSAV PASS\u2122 may retain a portion of proceeds (up to 20%) for up to 90 days post-event to cover chargebacks, refunds, or disputes.<\/p>\n

                      3.3 Refunds and Chargebacks<\/h4>\n

                      3.3.1<\/strong>\u00a0You are responsible for all refunds<\/strong>\u00a0issued in accordance with your cancellation policy as displayed to buyers.<\/p>\n

                      3.3.2<\/strong>\u00a0When you authorize a refund:<\/p>\n

                        UTSAV PASS\u2122 will process it from available funds<\/p>\n<\/li>\n

                      • \n

                        If insufficient funds are available, you must reimburse UTSAV PASS\u2122<\/p>\n<\/li>\n<\/ul>\n

                        3.3.3<\/strong>\u00a0Chargebacks (disputes initiated by buyers through their bank):<\/p>\n

                          You are liable for all chargeback amounts plus any fees<\/p>\n<\/li>\n

                        • \n

                          UTSAV PASS\u2122 may deduct chargebacks from future payouts<\/p>\n<\/li>\n

                        • \n

                          You may contest chargebacks by providing evidence (proof of delivery, policy disclosure, etc.)<\/p>\n<\/li>\n<\/ul>\n

                          3.4 Taxes<\/h4>\n

                          3.4.1<\/strong>\u00a0You are responsible for:<\/p>\n

                            Determining applicable taxes (GST, VAT, sales tax) on ticket sales<\/p>\n<\/li>\n

                          • \n

                            Collecting and remitting taxes to appropriate authorities<\/p>\n<\/li>\n

                          • \n

                            Providing tax-compliant invoices\/receipts where required<\/p>\n<\/li>\n<\/ul>\n

                            3.4.2<\/strong>\u00a0UTSAV PASS\u2122 may, where required by law, collect and remit taxes on your behalf. In such cases, we will provide documentation.<\/p>\n

                            3.4.3<\/strong>\u00a0You agree to indemnify UTSAV PASS\u2122 for any tax liabilities arising from your failure to comply.<\/p>\n

                            \n

                            4. EVENT EXECUTION AND SAFETY<\/h3>\n

                            4.1 Your Event Responsibilities<\/h4>\n

                            As Organizer, you are solely responsible for:<\/p>\n

                            Staff\/Volunteers<\/strong><\/td>\nHire, train, supervise all event staff; ensure they are qualified and legally permitted to work<\/td>\n<\/tr>\n
                            Emergency Planning<\/strong><\/td>\nDevelop emergency procedures; coordinate with local authorities if required<\/td>\n<\/tr>\n
                            Accessibility<\/strong><\/td>\nComply with accessibility laws; provide reasonable accommodations<\/td>\n<\/tr>\n
                            Child Protection<\/strong><\/td>\nIf event involves minors, implement appropriate safeguarding measures<\/td>\n<\/tr>\n
                            Insurance<\/strong><\/td>\nMaintain adequate insurance (public liability, cancellation, workers’ compensation)<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/div>\n

                            4.2 Insurance Requirement<\/h4>\n

                            4.2.1<\/strong>\u00a0You are strongly encouraged to maintain appropriate insurance coverage, including:<\/p>\n

                              Professional indemnity (for conferences\/workshops)<\/p>\n<\/li>\n<\/ul>\n

                              4.2.2<\/strong>\u00a0Upon request, you must provide UTSAV PASS\u2122 with proof of insurance.<\/p>\n

                              4.2.3<\/strong>\u00a0You acknowledge that UTSAV PASS\u2122’s insurance does not cover your event.<\/p>\n

                              4.3 Attendee Safety<\/h4>\n

                              4.3.1<\/strong>\u00a0You must take reasonable steps to ensure attendee safety, including:<\/p>\n

                                Providing adequate supervision<\/p>\n<\/li>\n

                                Having emergency procedures<\/p>\n<\/li>\n<\/ul>\n

                                4.3.2<\/strong>\u00a0You are responsible for injuries or damages occurring at your event to the extent caused by your negligence\u00a0.<\/p>\n

                                4.3.3<\/strong>\u00a0You agree to indemnify UTSAV PASS\u2122 for any claims arising from attendee injuries at your event.<\/p>\n

                                5. CANCELLATION, POSTPONEMENT, AND REFUNDS<\/h3>\n

                                5.1 Setting Your Cancellation Policy<\/h4>\n

                                5.1.1<\/strong>\u00a0You must select and clearly display a cancellation policy for each event:<\/p>\n

                                5.2 If You Cancel the Event<\/h4>\n

                                5.2.1<\/strong>\u00a0If you cancel an event entirely (not due to force majeure):<\/p>\n

                                  You must instruct UTSAV PASS\u2122 to issue refunds<\/p>\n<\/li>\n

                                  Refunds must include ticket face value<\/p>\n<\/li>\n

                                • \n

                                  Refunds must be processed within 14 days of cancellation<\/p>\n<\/li>\n<\/ul>\n

                                  5.2.2<\/strong>\u00a0If you cancel due to force majeure:<\/p>\n

                                    You may offer refunds, credits, or transfers to new dates<\/p>\n<\/li>\n

                                      5.3.2<\/strong>\u00a0If you postpone multiple times, you may be required to offer refunds.<\/p>\n

                                      5.4 Refund Processing<\/h4>\n

                                      5.4.1<\/strong>\u00a0When refunds are due:<\/p>\n

                                        You remain liable if funds are insufficient<\/p>\n<\/li>\n<\/ul>\n

                                        5.4.2<\/strong>\u00a0Refund processing fees charged by payment gateways may be non-refundable.<\/p>\n

                                        \n

                                        6. ATTENDEE DATA AND PRIVACY<\/h3>\n

                                        6.1<\/strong>\u00a0When attendees purchase tickets, you receive:<\/p>\n

                                          Email address<\/p>\n<\/li>\n

                                          Ticket type purchased<\/p>\n<\/li>\n

                                          6.2<\/strong>\u00a0You must:<\/p>\n

                                            Use attendee data only for event-related communications<\/p>\n<\/li>\n

                                          • \n

                                            Not share or sell attendee data to third parties without consent<\/p>\n<\/li>\n

                                          • \n

                                            Comply with applicable data protection laws (GDPR, CCPA, India DPDPA, etc.)<\/p>\n<\/li>\n

                                          • \n

                                            Provide your own privacy policy to attendees<\/p>\n<\/li>\n

                                          • \n

                                            Delete data upon request (subject to legal retention)<\/p>\n<\/li>\n<\/ul>\n

                                            6.3<\/strong>\u00a0UTSAV PASS\u2122 provides tools to manage attendee communications. You agree not to use these tools for spam or unauthorized marketing.<\/p>\n

                                            \n

                                            7. PROHIBITED CONTENT AND ACTIVITIES<\/h3>\n

                                            7.1<\/strong>\u00a0You may not use UTSAV PASS\u2122 to list events involving:<\/p>\n

                                              \n
                                            • \n

                                              Illegal activities (including illegal gambling, unauthorized firearms sales, drug paraphernalia)<\/p>\n<\/li>\n

                                            • \n

                                              Hate speech, discrimination, or harassment<\/p>\n<\/li>\n

                                            • \n

                                              Sexually explicit content (unless age-restricted and lawful)<\/p>\n<\/li>\n

                                            • \n

                                              Copyright-infringing materials (unauthorized music performances, screenings)<\/p>\n<\/li>\n

                                            • \n

                                              Dangerous activities with unreasonable risk of harm<\/p>\n<\/li>\n

                                            • \n

                                              Misleading or deceptive claims<\/p>\n<\/li>\n

                                            • \n

                                              Unauthorized fundraising for third parties<\/p>\n<\/li>\n

                                            • \n

                                              Any activity that violates applicable law<\/p>\n<\/li>\n<\/ul>\n

                                              7.2<\/strong>\u00a0UTSAV PASS\u2122 reserves the right to remove any event violating these standards and may report violations to authorities.<\/p>\n

                                              \n

                                              8. FEES AND PAYMENT TERMS<\/h3>\n

                                              8.1 Fee Structure<\/h4>\n

                                              8.1.1<\/strong>\u00a0Your specific fee structure is detailed in your Organizer Agreement or plan selection.<\/p>\n

                                              8.1.2<\/strong>\u00a0Standard fees may include:<\/p>\n

                                                Per-ticket fee (percentage of ticket price)<\/p>\n<\/li>\n

                                              • \n

                                                Fixed fee per transaction<\/p>\n<\/li>\n

                                              • \n

                                                Monthly subscription fee (if applicable)<\/p>\n<\/li>\n

                                              • \n

                                                Add-on service fees<\/p>\n<\/li>\n<\/ul>\n

                                                8.1.3<\/strong>\u00a0UTSAV PASS\u2122 may change fee structures with 30 days’ notice.<\/p>\n

                                                8.2 Payment Terms<\/h4>\n

                                                8.2.1<\/strong>\u00a0All fees are deducted before disbursement.<\/p>\n

                                                8.2.2<\/strong>\u00a0If your payout balance is negative (due to refunds\/chargebacks), you must pay the outstanding amount within 14 days.<\/p>\n

                                                8.2.3<\/strong>\u00a0UTSAV PASS\u2122 may offset any amounts you owe against future payouts.<\/p>\n

                                                \n

                                                9. ACCOUNT SUSPENSION AND TERMINATION<\/h3>\n

                                                9.1<\/strong>\u00a0UTSAV PASS\u2122 may suspend or terminate your account for:<\/p>\n

                                                  Illegal activities<\/p>\n<\/li>\n

                                                  Non-payment of fees<\/p>\n<\/li>\n

                                                  Any reason with 30 days’ notice<\/p>\n<\/li>\n<\/ul>\n

                                                  9.2<\/strong>\u00a0Upon termination:<\/p>\n

                                                    All pending payouts will be processed (minus amounts owed)<\/p>\n<\/li>\n

                                                    Your events may be removed<\/p>\n<\/li>\n

                                                    10. INDEMNIFICATION<\/h3>\n

                                                    10.1<\/strong>\u00a0You agree to indemnify, defend, and hold harmless UTSAV PASS\u2122, MyMahotsav Futuretech Ltd, and their affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:<\/p>\n

                                                      Any disputes with attendees<\/p>\n<\/li>\n
