Part A: Plain English Summary<\/h2>\n

Your Agreement as a GyanVapy Courses\u2122 Instructor<\/h3>\n

Welcome to GyanVapy Courses\u2122! This document is your legal agreement with us when you become an instructor and create courses on our platform. Please read it carefully.<\/p>\n

The Simple Truth<\/h3>\n
    \n
  • \n

    You’re an Independent Contractor<\/strong>: You are not an employee of GyanVapy Courses\u2122. You control your content, pricing, and teaching style.<\/p>\n<\/li>\n

  • \n

    You Keep Ownership<\/strong>: You retain all rights to your course content. You grant us a license to host and distribute it.<\/p>\n<\/li>\n

  • \n

    You’re Responsible for Your Content<\/strong>: You warrant that your content doesn’t infringe anyone’s rights and complies with our policies.<\/p>\n<\/li>\n

  • \n

    We Share Revenue<\/strong>: You earn revenue from course sales based on the agreed revenue share model.<\/p>\n<\/li>\n

  • \n

    Quality Matters<\/strong>: Courses that don’t meet our quality standards may be removed.<\/p>\n<\/li>\n<\/ul>\n

    Part B: Legal Terms and Conditions<\/h2>\n

    1. Instructor Status and Relationship<\/h3>\n

    1.1<\/strong>\u00a0Independent Contractor<\/strong>: You are an independent contractor, not an employee, partner, or agent of MyMahotsav Futuretech Ltd. Nothing in this Agreement creates an employment, partnership, or joint venture relationship.<\/p>\n

    1.2<\/strong>\u00a0No Exclusivity<\/strong>: You are free to offer your courses on other platforms and through other channels.<\/p>\n

    1.3<\/strong>\u00a0Authority<\/strong>: If you are accepting these terms on behalf of an organization, you represent that you have authority to bind that organization.<\/p>\n

    2. Instructor Eligibility<\/h3>\n

    2.1<\/strong>\u00a0Age Requirement<\/strong>: You must be at least 18 years old to become an instructor.<\/p>\n

    2.2<\/strong>\u00a0Qualifications<\/strong>: You represent that you have the necessary knowledge, skills, and qualifications to teach the courses you offer.<\/p>\n

    2.3<\/strong>\u00a0Account Requirement<\/strong>: You must maintain an active GyanVapy Courses\u2122 account in good standing.<\/p>\n

    3. Course Content Requirements<\/h3>\n

    3.1<\/strong>\u00a0Originality and Rights<\/strong>: You represent and warrant that:<\/p>\n

      You own all rights to your course content or have obtained all necessary licenses and permissions<\/p>\n<\/li>\n

    • \n

      Your content does not infringe any third-party intellectual property rights<\/p>\n<\/li>\n

    • \n

      You have obtained all necessary releases (model releases, etc.) for content featuring third parties<\/p>\n<\/li>\n<\/ul>\n

      3.2<\/strong>\u00a0Quality Standards<\/strong>: Your courses must meet our Content Quality & Standards Policy (Document C9), including:<\/p>\n

        Professional audio and video quality<\/p>\n<\/li>\n

      • \n

        Accurate and up-to-date information<\/p>\n<\/li>\n

      • \n

        Clear learning objectives and outcomes<\/p>\n<\/li>\n

      • \n

        Appropriate language and tone<\/p>\n<\/li>\n<\/ul>\n

        3.3<\/strong>\u00a0Prohibited Content<\/strong>: Your courses may not contain:<\/p>\n

          \n
        • \n

          Hate speech or discriminatory content<\/p>\n<\/li>\n

        • \n

          Sexually explicit material<\/p>\n<\/li>\n

        • \n

          Content promoting illegal activities<\/p>\n<\/li>\n

        • \n

          Defamatory statements<\/p>\n<\/li>\n

        • \n

          Infringing material<\/p>\n<\/li>\n<\/ul>\n

          4. License Grant to GyanVapy Courses\u2122<\/h3>\n

          4.1<\/strong>\u00a0License to Host and Distribute<\/strong>: By publishing a course on GyanVapy Courses\u2122, you grant us a non-exclusive, worldwide, royalty-free license to:<\/p>\n

            \n
          • \n

            Host, store, and maintain the course content on our platform<\/p>\n<\/li>\n

          • \n

            Stream, display, and distribute the course to enrolled students<\/p>\n<\/li>\n

          • \n

            Promote the course through marketing channels<\/p>\n<\/li>\n

          • \n

            Sub-license these rights to service providers and affiliates<\/p>\n<\/li>\n<\/ul>\n

            4.2<\/strong>\u00a0License Duration<\/strong>: This license continues for as long as your course is published on our platform. If you remove your course, the license terminates, but students who already enrolled retain access rights.<\/p>\n

            4.3<\/strong>\u00a0Sublicensing to Students<\/strong>: Students who enroll in your course receive a limited license to access the content for personal use as described in the Learner Enrollment Terms.<\/p>\n

            5. Revenue Share and Payments<\/h3>\n

            5.1<\/strong>\u00a0Revenue Share Model<\/strong>: You earn revenue from course sales based on the applicable revenue share percentage, as detailed in the separate Instructor Revenue Share & Payout Terms (Document C11).<\/p>\n

            5.2<\/strong>\u00a0Standard Revenue Share<\/strong>: The standard revenue share is detailed in your instructor dashboard.<\/p>\n

            5.3<\/strong>\u00a0Promotional Discounts<\/strong>: We may offer promotional discounts on courses. Your revenue share will be calculated based on the discounted price.<\/p>\n

            5.4<\/strong>\u00a0Payment Schedule<\/strong>: Payments are made monthly for earnings that meet the minimum payout threshold.<\/p>\n

            5.5<\/strong>\u00a0Taxes<\/strong>: You are responsible for reporting and paying any applicable taxes on your earnings. We may withhold taxes where required by law.<\/p>\n

            6. Instructor Obligations<\/h3>\n

            6.1<\/strong>\u00a0Course Maintenance<\/strong>: You agree to:<\/p>\n

              Keep your course content accurate and up-to-date<\/p>\n<\/li>\n

            • \n

              Respond to student questions in a timely manner<\/p>\n<\/li>\n

            • \n

              Address any issues with course functionality<\/p>\n<\/li>\n<\/ul>\n

              6.2<\/strong>\u00a0Communication<\/strong>: You agree to communicate with students professionally and respectfully.<\/p>\n

              6.3<\/strong>\u00a0Compliance<\/strong>: You agree to comply with all applicable laws, including:<\/p>\n

                Consumer protection laws<\/p>\n<\/li>\n

              • \n

                Data protection laws (regarding student information you access)<\/p>\n<\/li>\n

              • \n

                Anti-discrimination laws<\/p>\n<\/li>\n<\/ul>\n

                7. Termination<\/h3>\n

                7.1<\/strong>\u00a0By You<\/strong>: You may remove your courses from the platform at any time. Students who already enrolled retain access rights.<\/p>\n

                7.2<\/strong>\u00a0By Us<\/strong>: We may remove your courses or terminate your instructor account for:<\/p>\n

                • \n

                  Violation of these Terms<\/p>\n<\/li>\n

                • \n

                  Quality or policy violations<\/p>\n<\/li>\n

                • \n

                  Intellectual property complaints<\/p>\n<\/li>\n

                • \n

                  Fraudulent activity<\/p>\n<\/li>\n

                • \n

                  Any reason with 30 days’ notice<\/p>\n<\/li>\n<\/ul>\n

                  7.3<\/strong>\u00a0Effect of Termination<\/strong>: Upon termination:<\/p>\n

                  • \n

                    Your courses will be removed from sale<\/p>\n<\/li>\n

                  • \n

                    Existing students retain access<\/p>\n<\/li>\n

                  • \n

                    Final payments will be made for any outstanding earnings<\/p>\n<\/li>\n<\/ul>\n

                    8. Representations and Warranties<\/h3>\n

                    8.1<\/strong>\u00a0You represent and warrant that:<\/p>\n

                      You have the right and authority to enter this Agreement<\/p>\n<\/li>\n

                    • \n

                      Your courses comply with all applicable laws<\/p>\n<\/li>\n

                    • \n

                      Your courses do not infringe third-party rights<\/p>\n<\/li>\n

                    • \n

                      Your courses are accurate and not misleading<\/p>\n<\/li>\n

                    • \n

                      You will comply with all platform policies<\/p>\n<\/li>\n<\/ul>\n

                      9. Indemnification<\/h3>\n

                      9.1<\/strong>\u00a0You agree to indemnify and hold GyanVapy Courses\u2122 harmless from any claims, damages, or expenses arising from:<\/p>\n

                        Your breach of these Terms<\/p>\n<\/li>\n

                        Your course content<\/p>\n<\/li>\n
