This document explains the specific terms that apply when you post projects, review bids, and hire freelancers through our platform.<\/p>\n

The Simple Truth<\/h3>\n

  • \n

    You’re Hiring Independent Professionals<\/strong>: Freelancers are not employees\u2014they run their own businesses. You’re not responsible for their taxes, benefits, or insurance .<\/p>\n<\/li>\n

  • \n

    Funds Go Into Escrow First<\/strong>: To protect freelancers and ensure commitment, you must deposit funds into escrow before work begins .<\/p>\n<\/li>\n

  • \n

    Milestones Protect Everyone<\/strong>: Breaking projects into milestones with associated payments helps manage cash flow and ensures you only pay for completed work you approve .<\/p>\n<\/li>\n

  • \n

    Communicate on Platform<\/strong>: Keep all project discussions on the platform\u2014if disputes arise, we can only see what happened here .<\/p>\n<\/li>\n

  • \n

    You Own the Work Upon Payment<\/strong>: Once you pay and accept deliverables, you own the intellectual property (unless you agree otherwise) .<\/p>\n<\/li>\n<\/ul>\n

    Part B: Legal Terms and Conditions<\/h2>\n

    1. CLIENT STATUS AND RESPONSIBILITIES<\/h3>\n

    1.1<\/strong>\u00a0Independent Relationship<\/strong>: Clients engage Freelancers as independent contractors. Nothing in these Terms creates an employment, partnership, or agency relationship .<\/p>\n

    1.2<\/strong>\u00a0Sole Responsibility<\/strong>: Clients are solely responsible for:<\/p>\n

      Ensuring they have the authority to hire freelancers<\/p>\n<\/li>\n

    • \n

      Providing clear and accurate project requirements<\/p>\n<\/li>\n

    • \n

      Reviewing bids and selecting freelancers<\/p>\n<\/li>\n

    • \n

      Providing timely feedback and approvals<\/p>\n<\/li>\n

    • \n

      Making payments in accordance with Service Contracts<\/p>\n<\/li>\n

    • \n

      Complying with all applicable laws<\/p>\n<\/li>\n<\/ul>\n

      2. POSTING PROJECTS<\/h3>\n

      2.1<\/strong>\u00a0Project Requirements<\/strong>: When posting a project, you must provide :<\/p>\n

      Location<\/strong><\/td>\nRemote or on-site requirements<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/div>\n

      2.2<\/strong>\u00a0Accuracy<\/strong>: You represent that all project information is accurate and not misleading. Knowingly providing false information may result in account suspension .<\/p>\n

      2.3<\/strong>\u00a0Prohibited Projects<\/strong>: You may not post projects that :<\/p>\n

      • \n

        Involve illegal activities<\/p>\n<\/li>\n

      • \n

        Require violation of third-party rights<\/p>\n<\/li>\n

      • \n

        Seek unpaid “spec work” with no intention to hire<\/p>\n<\/li>\n

      • \n

        Discriminate against protected classes<\/p>\n<\/li>\n<\/ul>\n

        3. BIDDING AND SELECTION PROCESS<\/h3>\n

        3.1<\/strong>\u00a0Receiving Bids<\/strong>: Once posted, Freelancers may submit bids through the Platform. Bids include proposed price, timeline, and approach.<\/p>\n

        3.2<\/strong>\u00a0Freelancer Evaluation<\/strong>: You are solely responsible for evaluating Freelancers, including :<\/p>\n

          \n
        • \n

          Reviewing profiles, portfolios, and feedback<\/p>\n<\/li>\n

        • \n

          Conducting interviews (through Platform messaging)<\/p>\n<\/li>\n

        • \n

          Checking references (recommended)<\/p>\n<\/li>\n

        • \n

          Verifying skills (consider test tasks)<\/p>\n<\/li>\n<\/ul>\n

          3.3<\/strong>\u00a0No Obligation to Hire<\/strong>: You are under no obligation to accept any bid. You may close the project without hiring.<\/p>\n

          3.4<\/strong>\u00a0Selection Criteria<\/strong>: You may select based on any lawful criteria, including price, qualifications, or fit.<\/p>\n

          4. AWARDING PROJECTS AND ESCROW FUNDING<\/h3>\n

          4.1<\/strong>\u00a0Service Contract Formation<\/strong>: When you accept a bid and the Freelancer agrees, a binding Service Contract is formed directly between you and the Freelancer .<\/p>\n

          4.2<\/strong>\u00a0Escrow Requirement<\/strong>: BEFORE WORK COMMENCES, you must deposit funds into escrow for the full project amount (or first milestone amount) . Funds will be held by our payment partner.<\/p>\n

          4.3<\/strong>\u00a0Effect of Funding<\/strong>: Upon funding:<\/p>\n

            \n
          • \n

            Freelancer is notified to begin work<\/p>\n<\/li>\n

          • \n

            Funds are secured and cannot be withdrawn except as provided in the Escrow Policy<\/p>\n<\/li>\n

          • \n

            The Service Contract becomes active<\/p>\n<\/li>\n<\/ul>\n

            4.4<\/strong>\u00a0Milestone Projects<\/strong>: For projects with milestones:<\/p>\n

              \n
            • \n

              Each milestone must have defined deliverables and payment amount<\/p>\n<\/li>\n

            • \n

              Funds for each milestone must be deposited before work on that milestone begins<\/p>\n<\/li>\n

            • \n

              Upon milestone completion and your approval, funds are released to Freelancer<\/p>\n<\/li>\n<\/ul>\n

              5. PROJECT COMMUNICATIONS<\/h3>\n

              5.1<\/strong>\u00a0On-Platform Communication<\/strong>: All project-related communications must occur through Platform messaging systems .<\/p>\n

              5.2<\/strong>\u00a0Evidence for Disputes<\/strong>: Platform communications serve as the official record of project discussions, approvals, and changes. Communications off-platform may not be considered in dispute resolution .<\/p>\n

              5.3<\/strong>\u00a0Scope Changes<\/strong>: Any changes to project scope, timeline, or budget must be documented through Platform messaging.<\/p>\n

              6. PAYMENT OBLIGATIONS<\/h3>\n

              6.1<\/strong>\u00a0Payment Upon Approval<\/strong>: When you approve completed work (or a milestone), payment is released from escrow to the Freelancer .<\/p>\n

              6.2<\/strong>\u00a0Automatic Approval<\/strong>: If you fail to respond to a completion submission within the specified review period ([7] days by default), the work may be deemed approved and payment released .<\/p>\n

              6.3<\/strong>\u00a0Disputes<\/strong>: If you believe work does not meet specifications, you must initiate dispute proceedings before payment is released .<\/p>\n

              7. CANCELLATION AND REFUNDS<\/h3>\n

              7.1<\/strong>\u00a0Cancellation Before Work Begins<\/strong>: If you cancel before the Freelancer begins work, you will receive a full refund of escrowed funds.<\/p>\n

              7.2<\/strong>\u00a0Cancellation During Work<\/strong>: If you cancel during an active project:<\/p>\n

                Freelancer is entitled to payment for completed, approved work<\/p>\n<\/li>\n

              • \n

                Remaining escrowed funds will be refunded to you<\/p>\n<\/li>\n

              • \n

                Any disputes over completion status will be handled through dispute resolution<\/p>\n<\/li>\n<\/ul>\n

                7.3<\/strong>\u00a0No Right to Cancel After Approval<\/strong>: Once you approve work and payment is released, cancellations are not permitted.<\/p>\n

                8. INTELLECTUAL PROPERTY<\/h3>\n

                8.1<\/strong>\u00a0Default IP Assignment<\/strong>: Upon full payment, Freelancer assigns all rights, title, and interest in the work product to you, including copyright and other intellectual property rights .<\/p>\n

                8.2<\/strong>\u00a0Exceptions<\/strong>: If different IP arrangements are needed (e.g., license only, joint ownership), you must specify this in the project requirements and Service Contract.<\/p>\n

                8.3<\/strong>\u00a0Third-Party Materials<\/strong>: If the Freelancer uses third-party materials (images, fonts, code libraries), you are responsible for ensuring you have appropriate licenses for their use.<\/p>\n

                9. CLIENT OBLIGATIONS AND WARRANTIES<\/h3>\n

                9.1<\/strong>\u00a0By using the Platform as a Client, you represent and warrant that :<\/p>\n

                  You have the authority to enter into Service Contracts<\/p>\n<\/li>\n

                • \n

                  You will pay all amounts due in accordance with these Terms<\/p>\n<\/li>\n

                • \n

                  You will provide timely feedback to facilitate project progress<\/p>\n<\/li>\n

                • \n

                  You will not use the Platform to discriminate unlawfully<\/p>\n<\/li>\n

                • \n

                  You will comply with all applicable laws<\/p>\n<\/li>\n<\/ul>\n

                  10. RATINGS AND REVIEWS<\/h3>\n

                  10.1<\/strong>\u00a0You may leave ratings and reviews for Freelancers after project completion.<\/p>\n

                  10.2<\/strong>\u00a0Reviews must be :<\/p>\n

                    \n
                  • \n

                    Based on actual experience<\/p>\n<\/li>\n

                  • \n

                    Honest and not misleading<\/p>\n<\/li>\n

                  • \n

                    Free from harassment or discrimination<\/p>\n<\/li>\n<\/ul>\n
