Part A: Plain English Summary #

Your Agreement When Booking Through Utsav Appointments™ #

Someone shared a Utsav Appointments™ link with you to schedule a meeting. This document explains the terms that apply when you use that link to book time with them.

The Simple Truth #

• You’re using a Host’s link: The person who sent you this link (the “Host”) has a separate agreement with us. You’re interacting with them, not with us.

• Your information goes to the Host: When you book, your name, email, and any answers you provide are shared with the Host.

• The Host is responsible for the meeting: They decide what happens, whether it’s recorded, and how your information is used.

• We’re just the platform: Utsav Appointments™ provides the technology, but we’re not responsible for the meeting or what the Host does with your information.

• Be respectful: Don’t use booking links to spam, harass, or cause harm.

Part B: Legal Terms and Conditions #

1. Introduction and Scope #

1.1 These Invitee Terms and Conditions (“Invitee Terms”) govern your access to and use of Utsav Appointments™ Services as an Invitee.

1.2 You are an “Invitee” if:

• You have received or are accessing a valid Booking Link made available by a Host; and

• You use such link to schedule a meeting with a Host; or

• You participate in a meeting utilizing the meeting intelligence or recording features of the Services.

1.3 These Invitee Terms incorporate by reference:

• The Definitions (Document 1)

• The Acceptable Use Policy (Document 4)

1.4 If you have your own Utsav Appointments™ account, your use of the Services is governed by the Host Terms (Document 2), not these Invitee Terms.

2. Your Relationship with the Host #

2.1 Host Responsibility: The individual or entity that provided you with the Booking Link (the “Host”) has entered into a separate agreement with Utsav Appointments™ (the Host Terms). The Host is solely responsible for:

• The content and purpose of the meeting

• How your information is used

• Obtaining any necessary consents (including for recording)

• Complying with applicable laws

2.2 DISCLAIMER: AS BETWEEN US AND THE HOST, YOU AGREE THAT IT IS SOLELY THE HOST’S RESPONSIBILITY TO:

• (A) INFORM YOU OF ANY RELEVANT POLICIES, PRACTICES, OR SETTINGS THAT MAY IMPACT THE PROCESSING OF YOUR INFORMATION

• (B) OBTAIN ANY RIGHTS, PERMISSIONS, OR CONSENTS FROM YOU THAT ARE NECESSARY FOR THE LAWFUL USE OF YOUR INFORMATION

• (C) ENSURE THAT THE TRANSFER AND PROCESSING OF YOUR INFORMATION IS LAWFUL

• (D) RESPOND TO AND RESOLVE ANY DISPUTE WITH YOU RELATING TO YOUR USE OF THE SERVICES OR THE MEETING ITSELF

2.3 UTSAV APPOINTMENTS™ MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, TO YOU RELATING TO THE SERVICES, WHICH ARE PROVIDED TO YOU ON AN “AS-IS” AND “AS AVAILABLE” BASIS.

3. Information You Provide #

3.1 When you use a Booking Link, you may be asked to provide information such as:

• Your name

• Your email address

• Your phone number (optional)

• Answers to custom questions created by the Host

• Your availability preferences

3.2 This Information is Shared with the Host: Any information you provide through the Booking Link is collected by Utsav Appointments™ on behalf of the Host and is provided directly to the Host. The Host becomes the data controller of your information, and their privacy practices govern how they use it.

3.3 Host’s Privacy Practices: We encourage you to review any privacy policy or notice provided by the Host. Utsav Appointments™ is not responsible for the Host’s use of your information.

3.4 Accuracy: You agree to provide accurate, current, and complete information when using Booking Links.

4. Meetings and Recording #

4.1 Meeting Conduct: The Host is responsible for the conduct of the meeting. If you have concerns about meeting content or Host behavior, you should address them directly with the Host.

4.2 Recording and Transcription:

4.2.1 If the Host uses recording, transcription, or meeting intelligence features:

• The Host is solely responsible for notifying you and obtaining your consent as required by law

• You should assume that meetings may be recorded unless the Host explicitly states otherwise

• If you are uncomfortable being recorded, you should decline the meeting or ask the Host about their recording practices

4.2.2 You acknowledge that Utsav Appointments™ provides the technology for recording but is not responsible for:

• Whether the Host complies with consent requirements

• How recordings are used or stored by the Host

• Any failure of recording technology

5. Your Obligations #

5.1 Age Requirement: You represent that you are at least 18 years of age (or the age of majority in your jurisdiction). The Services are not intended for use by individuals under 18 without parental supervision and consent.

5.2 Compliance with Acceptable Use Policy: You agree to comply with our Acceptable Use Policy (Document 4). In particular, you may not:

• Use Booking Links to spam or harass Hosts

• Provide false or misleading information

• Attempt to interfere with the Services

• Use the Services for any illegal purpose

5.3 Appropriate Conduct: When participating in meetings scheduled through the Services, you agree to:

• Treat the Host and other participants with respect

• Not engage in harassing, threatening, or discriminatory behavior

• Not record or share meeting content without authorization

6. Intellectual Property #

6.1 As an Invitee, you have no rights to the Utsav Appointments™ technology, software, or brand. All intellectual property rights in the Services remain with Utsav Appointments™.

7. Termination of Access #

7.1 We may suspend or terminate your access to the Services (including the ability to use Booking Links) if:

• You violate these Invitee Terms

• Your use of the Services violates the Acceptable Use Policy

• We are required to do so by law

• The Host’s agreement with us terminates (which may affect your Booking Links)

7.2 The Host may also cancel or reschedule any Booking at their discretion.

8. Limitation of Liability #

8.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTSAV APPOINTMENTS™ SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

8.2 OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED £100 (OR EQUIVALENT IN LOCAL CURRENCY).

8.3 THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Dispute Resolution and Arbitration #

9.1 Informal Resolution: Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at disputes@utsavappointments.com. We will attempt to resolve the dispute within 45 days.

9.2 Arbitration Agreement: If the dispute is not resolved informally, it shall be resolved exclusively by binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA), with the arbitration taking place in London, United Kingdom.

9.3 Class Action Waiver: YOU AND UTSAV APPOINTMENTS™ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

9.4 Exceptions: This arbitration provision does not apply to claims that cannot be arbitrated as a matter of law or to claims brought in small claims court where eligible.

10. General Provisions #

10.1 Governing Law: These Invitee Terms shall be governed by the laws of England and Wales.

10.2 Entire Agreement: These Invitee Terms constitute the entire agreement between you and Utsav Appointments™ regarding your use of the Services as an Invitee.

Part C: Jurisdiction-Specific Addendums #

India Addendum #

Consumer Protection: If you are a consumer in India, you have rights under the Consumer Protection Act, 2019. Nothing in these Invitee Terms limits those rights.

UK/EU Addendum #

GDPR Rights: You have rights regarding your personal data under GDPR. To exercise these rights, you should contact the Host (as data controller) in the first instance. If you are unable to resolve matters with the Host, you may contact us at privacy@utsavappointments.com.

US Addendum #

Recording Consent: Various states have different laws regarding consent to record conversations. It is your responsibility to understand the laws applicable to you and to address any recording concerns with the Host.
