Part A: Plain English Summary #

Your Agreement as a GyanVapy Courses™ Instructor #

Welcome to GyanVapy Courses™! This document is your legal agreement with us when you become an instructor and create courses on our platform. Please read it carefully.

The Simple Truth #

• You’re an Independent Contractor: You are not an employee of GyanVapy Courses™. You control your content, pricing, and teaching style.

• You Keep Ownership: You retain all rights to your course content. You grant us a license to host and distribute it.

• You’re Responsible for Your Content: You warrant that your content doesn’t infringe anyone’s rights and complies with our policies.

• We Share Revenue: You earn revenue from course sales based on the agreed revenue share model.

• Quality Matters: Courses that don’t meet our quality standards may be removed.

Part B: Legal Terms and Conditions #

1. Instructor Status and Relationship #

1.1 Independent Contractor: You are an independent contractor, not an employee, partner, or agent of MyMahotsav Futuretech Ltd. Nothing in this Agreement creates an employment, partnership, or joint venture relationship.

1.2 No Exclusivity: You are free to offer your courses on other platforms and through other channels.

1.3 Authority: If you are accepting these terms on behalf of an organization, you represent that you have authority to bind that organization.

2. Instructor Eligibility #

2.1 Age Requirement: You must be at least 18 years old to become an instructor.

2.2 Qualifications: You represent that you have the necessary knowledge, skills, and qualifications to teach the courses you offer.

2.3 Account Requirement: You must maintain an active GyanVapy Courses™ account in good standing.

3. Course Content Requirements #

3.1 Originality and Rights: You represent and warrant that:

• You own all rights to your course content or have obtained all necessary licenses and permissions

• Your content does not infringe any third-party intellectual property rights

• You have obtained all necessary releases (model releases, etc.) for content featuring third parties

3.2 Quality Standards: Your courses must meet our Content Quality & Standards Policy (Document C9), including:

• Professional audio and video quality

• Accurate and up-to-date information

• Clear learning objectives and outcomes

• Appropriate language and tone

3.3 Prohibited Content: Your courses may not contain:

• Hate speech or discriminatory content

• Sexually explicit material

• Content promoting illegal activities

• Defamatory statements

• Infringing material

4. License Grant to GyanVapy Courses™ #

4.1 License to Host and Distribute: By publishing a course on GyanVapy Courses™, you grant us a non-exclusive, worldwide, royalty-free license to:

• Host, store, and maintain the course content on our platform

• Stream, display, and distribute the course to enrolled students

• Promote the course through marketing channels

• Sub-license these rights to service providers and affiliates

4.2 License Duration: This license continues for as long as your course is published on our platform. If you remove your course, the license terminates, but students who already enrolled retain access rights.

4.3 Sublicensing to Students: Students who enroll in your course receive a limited license to access the content for personal use as described in the Learner Enrollment Terms.

5. Revenue Share and Payments #

5.1 Revenue Share Model: You earn revenue from course sales based on the applicable revenue share percentage, as detailed in the separate Instructor Revenue Share & Payout Terms (Document C11).

5.2 Standard Revenue Share: The standard revenue share is detailed in your instructor dashboard.

5.3 Promotional Discounts: We may offer promotional discounts on courses. Your revenue share will be calculated based on the discounted price.

5.4 Payment Schedule: Payments are made monthly for earnings that meet the minimum payout threshold.

5.5 Taxes: You are responsible for reporting and paying any applicable taxes on your earnings. We may withhold taxes where required by law.

6. Instructor Obligations #

6.1 Course Maintenance: You agree to:

• Keep your course content accurate and up-to-date

• Respond to student questions in a timely manner

• Address any issues with course functionality

6.2 Communication: You agree to communicate with students professionally and respectfully.

6.3 Compliance: You agree to comply with all applicable laws, including:

• Consumer protection laws

• Data protection laws (regarding student information you access)

• Anti-discrimination laws

7. Termination #

7.1 By You: You may remove your courses from the platform at any time. Students who already enrolled retain access rights.

7.2 By Us: We may remove your courses or terminate your instructor account for:

• Violation of these Terms

• Quality or policy violations

• Intellectual property complaints

• Fraudulent activity

• Any reason with 30 days’ notice

7.3 Effect of Termination: Upon termination:

• Your courses will be removed from sale

• Existing students retain access

• Final payments will be made for any outstanding earnings

8. Representations and Warranties #

8.1 You represent and warrant that:

• You have the right and authority to enter this Agreement

• Your courses comply with all applicable laws

• Your courses do not infringe third-party rights

• Your courses are accurate and not misleading

• You will comply with all platform policies

9. Indemnification #

9.1 You agree to indemnify and hold GyanVapy Courses™ harmless from any claims, damages, or expenses arising from:

• Your breach of these Terms

• Your course content

• Any intellectual property infringement claims related to your content

• Your violation of applicable laws
