This document explains the specific terms that apply when you post projects, review bids, and hire freelancers through our platform.

The Simple Truth #

  • You’re Hiring Independent Professionals: Freelancers are not employees—they run their own businesses. You’re not responsible for their taxes, benefits, or insurance .

  • Funds Go Into Escrow First: To protect freelancers and ensure commitment, you must deposit funds into escrow before work begins .

  • Milestones Protect Everyone: Breaking projects into milestones with associated payments helps manage cash flow and ensures you only pay for completed work you approve .

  • Communicate on Platform: Keep all project discussions on the platform—if disputes arise, we can only see what happened here .

  • You Own the Work Upon Payment: Once you pay and accept deliverables, you own the intellectual property (unless you agree otherwise) .


1. CLIENT STATUS AND RESPONSIBILITIES #

1.1 Independent Relationship: Clients engage Freelancers as independent contractors. Nothing in these Terms creates an employment, partnership, or agency relationship .

1.2 Sole Responsibility: Clients are solely responsible for:

  • Ensuring they have the authority to hire freelancers

  • Providing clear and accurate project requirements

  • Reviewing bids and selecting freelancers

  • Providing timely feedback and approvals

  • Making payments in accordance with Service Contracts

  • Complying with all applicable laws

2. POSTING PROJECTS #

2.1 Project Requirements: When posting a project, you must provide :

Budget Estimated budget range or fixed price
Timeline Expected start date, duration, and deadlines
Skills Required Specific expertise needed
Location Remote or on-site requirements

2.2 Accuracy: You represent that all project information is accurate and not misleading. Knowingly providing false information may result in account suspension .

2.3 Prohibited Projects: You may not post projects that :

  • Involve illegal activities

  • Require violation of third-party rights

  • Seek unpaid “spec work” with no intention to hire

  • Discriminate against protected classes

3. BIDDING AND SELECTION PROCESS #

3.1 Receiving Bids: Once posted, Freelancers may submit bids through the Platform. Bids include proposed price, timeline, and approach.

3.2 Freelancer Evaluation: You are solely responsible for evaluating Freelancers, including :

  • Reviewing profiles, portfolios, and feedback

  • Conducting interviews (through Platform messaging)

  • Checking references (recommended)

  • Verifying skills (consider test tasks)

3.3 No Obligation to Hire: You are under no obligation to accept any bid. You may close the project without hiring.

3.4 Selection Criteria: You may select based on any lawful criteria, including price, qualifications, or fit.

4. AWARDING PROJECTS AND ESCROW FUNDING #

4.1 Service Contract Formation: When you accept a bid and the Freelancer agrees, a binding Service Contract is formed directly between you and the Freelancer .

4.2 Escrow Requirement: BEFORE WORK COMMENCES, you must deposit funds into escrow for the full project amount (or first milestone amount) . Funds will be held by our payment partner.

4.3 Effect of Funding: Upon funding:

  • Freelancer is notified to begin work

  • Funds are secured and cannot be withdrawn except as provided in the Escrow Policy

  • The Service Contract becomes active

4.4 Milestone Projects: For projects with milestones:

  • Each milestone must have defined deliverables and payment amount

  • Funds for each milestone must be deposited before work on that milestone begins

  • Upon milestone completion and your approval, funds are released to Freelancer

5. PROJECT COMMUNICATIONS #

5.1 On-Platform Communication: All project-related communications must occur through Platform messaging systems .

5.2 Evidence for Disputes: Platform communications serve as the official record of project discussions, approvals, and changes. Communications off-platform may not be considered in dispute resolution .

5.3 Scope Changes: Any changes to project scope, timeline, or budget must be documented through Platform messaging.

6. PAYMENT OBLIGATIONS #

6.1 Payment Upon Approval: When you approve completed work (or a milestone), payment is released from escrow to the Freelancer .

6.2 Automatic Approval: If you fail to respond to a completion submission within the specified review period ([7] days by default), the work may be deemed approved and payment released .

6.3 Disputes: If you believe work does not meet specifications, you must initiate dispute proceedings before payment is released .

7. CANCELLATION AND REFUNDS #

7.1 Cancellation Before Work Begins: If you cancel before the Freelancer begins work, you will receive a full refund of escrowed funds.

7.2 Cancellation During Work: If you cancel during an active project:

  • Freelancer is entitled to payment for completed, approved work

  • Remaining escrowed funds will be refunded to you

  • Any disputes over completion status will be handled through dispute resolution

7.3 No Right to Cancel After Approval: Once you approve work and payment is released, cancellations are not permitted.

8. INTELLECTUAL PROPERTY #

8.1 Default IP Assignment: Upon full payment, Freelancer assigns all rights, title, and interest in the work product to you, including copyright and other intellectual property rights .

8.2 Exceptions: If different IP arrangements are needed (e.g., license only, joint ownership), you must specify this in the project requirements and Service Contract.

8.3 Third-Party Materials: If the Freelancer uses third-party materials (images, fonts, code libraries), you are responsible for ensuring you have appropriate licenses for their use.

9. CLIENT OBLIGATIONS AND WARRANTIES #

9.1 By using the Platform as a Client, you represent and warrant that :

  • You have the authority to enter into Service Contracts

  • You will pay all amounts due in accordance with these Terms

  • You will provide timely feedback to facilitate project progress

  • You will not use the Platform to discriminate unlawfully

  • You will comply with all applicable laws

10. RATINGS AND REVIEWS #

10.1 You may leave ratings and reviews for Freelancers after project completion.

10.2 Reviews must be :

  • Based on actual experience

  • Honest and not misleading

  • Free from harassment or discrimination

10.3 We reserve the right to remove reviews that violate these standards.
