This document explains the specific terms that apply when you bid on projects, deliver work, and get paid through our platform.
The Simple Truth #

You’re an Independent Business: You run your own business. We’re not your employer—you’re responsible for your taxes, insurance, and business expenses .

Bids Are Binding: When you bid on a project and are selected, you’re committing to deliver the work as described .

Escrow Protects Your Payment: Client funds are held securely and released when you deliver approved work. You’re guaranteed payment for approved work .

Communicate on Platform: Keep all project discussions on the platform—if disputes arise, we can only see what happened here .

You Assign IP Upon Payment: When you get paid, the client owns the work product (unless you agree otherwise) .
Part B: Legal Terms and Conditions #
2. FREELANCER STATUS AND RESPONSIBILITIES #
2.1 Independent Contractor: Freelancers are independent contractors, not employees, partners, or agents of MyMahotsav or Clients .
2.2 Sole Responsibility: Freelancers are solely responsible for :

Their own taxes, including income tax, GST/VAT, and self-employment taxes

Their own business expenses, insurance, and benefits

Complying with all applicable laws and regulations

Determining their work methods and schedule

Delivering work in accordance with Service Contracts
2.3 No Employee Benefits: Freelancers are not entitled to any employee benefits, workers’ compensation, unemployment insurance, or other benefits from MyMahotsav or Clients .
3. FREELANCER ELIGIBILITY #
3.1 To become a Freelancer, you must :

Be at least 18 years old

Complete identity verification (government ID, address verification)

Provide accurate profile information

Have the legal right to provide services in your jurisdiction
4. BIDDING ON PROJECTS #
4.1 Bid Requirements: When submitting a bid, you must provide :

4.2 Accuracy: You represent that all bid information is accurate. Knowingly submitting false or misleading bids may result in account suspension .
4.3 Binding Nature: If a Client accepts your bid, you are contractually obligated to perform the work as described in your bid and any subsequent agreed-upon specifications .
4.4 No Guarantee of Selection: Submitting a bid does not guarantee you will be selected for the project.
5. PROJECT ACCEPTANCE AND COMMENCEMENT #
5.1 Service Contract Formation: When a Client accepts your bid and funds are deposited into escrow, a binding Service Contract is formed directly between you and the Client .
5.2 Confirmation: You will receive notification when funds are in escrow. Upon notification, you may begin work.
5.3 No Work Without Escrow: You must not commence work until funds are confirmed in escrow. Work performed without escrow funding is at your own risk and may not be eligible for payment protection .
6. PROJECT DELIVERY #
6.1 Submission: Upon completing work (or a milestone), you must submit deliverables through the Platform.
6.2 Review Period: The Client has [7] days to review deliverables and either:

Approve and release payment

Request revisions

Reject with explanation

Initiate dispute
6.3 Automatic Approval: If the Client fails to respond within the review period, the work may be deemed approved and payment released .
6.4 Revisions: If revisions are requested, you agree to make reasonable efforts to address Client feedback. Excessive or unreasonable revision requests may be subject to dispute resolution.
7. PAYMENT #
7.1 Payment Release: Upon Client approval (or automatic approval), payment is released from escrow to your account.
7.2 Payout Schedule: Funds are available for withdrawal according to our payout schedule (typically [3-5] business days after release).
7.3 Platform Fees: Applicable platform commissions are deducted before payment is released to you .
7.4 Currency Conversion: If you receive payments in a different currency, your bank may apply conversion fees.
8. WITHDRAWAL AND CANCELLATION #
8.1 Withdrawal Before Acceptance: If you withdraw a bid before Client acceptance, no obligations arise.
8.2 Cancellation During Project: If you need to cancel an active project:

Notify the Client immediately through the Platform

You are entitled to payment for completed, approved work

Unearned escrowed funds will be refunded to Client

Excessive cancellations may affect your standing
9. INTELLECTUAL PROPERTY #
9.1 Default IP Assignment: Upon full payment, you assign all rights, title, and interest in the work product to the Client, including copyright and other intellectual property rights .
9.2 Exceptions: If different IP arrangements are needed (e.g., you retain ownership and grant a license), you must specify this in your bid and the Service Contract.
9.3 Third-Party Materials: If you use third-party materials (images, fonts, code libraries), you must ensure you have appropriate licenses that allow the Client to use them.
9.4 Portfolio Rights: Unless the Client agrees otherwise, you may display work in your portfolio after project completion and payment.
10. FREELANCER OBLIGATIONS AND WARRANTIES #
10.1 By using the Platform as a Freelancer, you represent and warrant that :

You have the skill and expertise to perform the services you offer

You will perform work in a professional and timely manner

Your work will be original and not infringe third-party rights
-
You will comply with all applicable laws

You will communicate professionally with Clients
-
You will not subcontract work without Client consent
11. RATINGS AND REVIEWS #
11.1 You may receive ratings and reviews from Clients after project completion.
11.2 Maintaining high ratings and positive reviews is important for your success on the Platform.
11.3 Review manipulation (e.g., fake reviews, reciprocal positive reviews) is prohibited .
