Part A: Plain English Summary #
Welcome to Utsav Affiliates™! #
Thank you for your interest in promoting MyMahotsav’s ecosystem of services. As an affiliate, you’ll earn commissions by referring customers to our various platforms. This document outlines the terms of our partnership.
The Simple Truth #

You’re an Independent Partner: You are an independent contractor, not an employee of MyMahotsav. You run your own business and are responsible for your own taxes, marketing methods, and compliance with laws.

Approval Required: Affiliate applications are reviewed by our moderation team. Not everyone is accepted—we look for quality promoters who align with our brand values.

Commissions Are Earned, Not Guaranteed: You earn commissions only when qualified actions occur (sales, leads, etc.). We reserve the right to withhold commissions for fraudulent or invalid activity.

Follow the Rules: You must promote our services ethically and legally. Deceptive marketing, spam, and unauthorized brand use will get you terminated.

We Can Terminate Anytime: Either party may terminate this agreement with notice. Upon termination, unpaid commissions may be held to ensure accuracy.
Part B: Legal Terms and Conditions #
1. DEFINITIONS #

| Affiliate Dashboard | The online interface where Affiliates access tracking data, creatives, and reports |
| Program Content | Banners, text links, product feeds, and other promotional materials provided by MyMahotsav |
| Affiliate Link | A unique tracking URL assigned to Affiliate to identify traffic and conversions |
| Fraud Traffic | Invalid clicks or conversions generated through prohibited means, including bots, self-clicks, or deceptive practices |
2. PROGRAM DESCRIPTION #
2.1 Utsav Affiliates™ permits Affiliates to earn commissions by promoting MyMahotsav’s services through approved marketing channels. Affiliates place Affiliate Links on their websites, social media, or other approved platforms to drive traffic to MyMahotsav properties.
2.2 When customers click through Affiliate Links and complete Qualified Actions, Affiliates earn commissions as detailed in the Commission Structure & Earnings Policy (AF-2).
2.3 MyMahotsav may provide Program Content to assist Affiliates in their promotional efforts. Such content remains our property and may only be used as expressly permitted.
3. ELIGIBILITY AND ENROLLMENT #
3.1 Application: Prospective Affiliates must complete and submit an application through the Utsav Affiliates™ portal. Applications require accurate, current, and complete information.
3.2 Review Process: MyMahotsav moderators review each application to assess:

The applicant’s promotional methods and channels

Alignment with MyMahotsav brand values

Potential for quality traffic generation
-
Compliance history (if applicable)
3.3 Approval Discretion: MyMahotsav reserves the right to accept or reject any application at its sole discretion, without obligation to provide reasons.
3.4 Approval Conditions: Approved Affiliates must:

Maintain accurate account information
-
Comply with all Program Terms
-
Not be subject to U.S. sanctions or trade restrictions
-
Be lawfully able to enter into contracts
3.5 One Account Per Affiliate: Affiliates may maintain only one account. Multiple accounts for the same individual or entity may result in termination.
4. AFFILIATE OBLIGATIONS AND WARRANTIES #
4.1 By participating in the Program, Affiliates represent, warrant, and covenant that:

(a) They will participate in the Program in accordance with this Agreement and all incorporated policies

(b) Their participation and promotional activities will not violate any applicable laws, ordinances, rules, regulations, or industry standards (including those governing communications, data protection, advertising, and marketing)

(c) They have independently evaluated the desirability of participating and are not relying on any representation not expressly set forth in this Agreement
-
(d) All information provided in connection with the Program is accurate and complete
-
(e) They will promptly update any information that changes
4.2 Independent Contractor Status: Affiliates are independent contractors. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship. Affiliates are solely responsible for:

Their own taxes, including income tax and self-employment tax
-
Their own business expenses, insurance, and benefits
-
Determining their work methods and promotional strategies
-
Complying with all applicable laws
5. RELATIONSHIP WITH CUSTOMERS #
5.1 Customers referred by Affiliates are customers of MyMahotsav, not of the Affiliate.
5.2 As between Affiliate and MyMahotsav, all pricing, terms of sale, rules, policies, and operating procedures concerning customer orders, customer service, and product sales are determined solely by MyMahotsav and may be changed at any time.
5.3 Affiliates will not handle or address any contacts with MyMahotsav customers regarding customer service issues. If contacted by customers, Affiliates must direct them to follow contact directions on the relevant MyMahotsav site.
6. TRACKING AND ATTRIBUTION #
6.1 MyMahotsav uses tracking technology (cookies, pixels, etc.) to attribute customer actions to Affiliates. Tracking mechanisms and attribution rules are described in the Commission Structure (AF-2).
6.2 Affiliates must use only Affiliate Links provided through the Program. Modifying links or using unauthorized tracking methods may result in commission forfeiture.
6.3 MyMahotsav’s tracking system records and reports are the definitive basis for calculating commissions. In the event of discrepancies, MyMahotsav’s records control.
7. COMMISSIONS AND PAYMENTS #
7.1 Commissions are earned only for Qualified Actions as defined in the Commission Structure (AF-2).
7.2 Payment terms, thresholds, schedules, and methods are detailed in the Commission Structure (AF-2).
7.3 MyMahotsav may hold accrued unpaid commissions for a reasonable period following termination to ensure correct amounts are paid (e.g., to account for cancellations or returns).
7.4 In the event of suspected fraud, MyMahotsav may delay payment for up to one hundred eighty (180) days while investigating and verifying relevant transactions.
8. TERM AND TERMINATION #
8.1 Term: This Agreement begins upon acceptance into the Program and continues until terminated by either party.
8.2 Termination by Affiliate: Affiliate may terminate this Agreement at any time by providing written notice through the Affiliate Dashboard or by closing their account.
8.3 Termination by MyMahotsav: MyMahotsav may terminate this Agreement or suspend any Affiliate account immediately upon written notice for any of the following:

(a) Affiliate is in material breach of this Agreement
-
(b) Affiliate fails to cure any other breach within 7 days of notice
-
(c) MyMahotsav believes it may face potential claims or liability in connection with Affiliate’s participation
-
(d) MyMahotsav believes its brand or reputation may be tarnished by Affiliate
-
(e) Affiliate’s participation has been used for deceptive, fraudulent, or illegal activity
-
(f) MyMahotsav reasonably believes it is or may become subject to tax collection requirements
-
(g) MyMahotsav has previously terminated this Agreement with respect to Affiliate or related persons
8.4 Effect of Termination: Upon termination:

All rights and licenses granted to Affiliate immediately cease
-
Affiliate must remove all Affiliate Links and Program Content
-
Accrued unpaid commissions will be paid subject to the terms of this Agreement
-
Sections that by their nature should survive (warranties, Indemnification, limitations of liability) will survive
9. DISCLAIMER OF WARRANTIES #
9.1 THE PROGRAM, AFFILIATE LINKS, PROGRAM CONTENT, AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MYMAHOTSAV MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
9.2 MYMAHOTSAV DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.3 MyMahotsav does not warrant that:

The Program will be uninterrupted, error-free, or secure
-
Any specific level of traffic or commission income can be achieved
-
Tracking will be error-free (though we strive for accuracy)
9.4 MyMahotsav may discontinue or modify any aspect of the Program at any time without liability.
10. LIMITATION OF LIABILITY #
10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYMAHOTSAV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT.
10.2 MYMAHOTSAV’S TOTAL LIABILITY TO ANY AFFILIATE ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO THAT AFFILIATE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10.3 Nothing in this Agreement excludes or limits liability for:

Death or personal injury caused by negligence

Fraud or fraudulent misrepresentation
-
Any liability that cannot be limited or excluded by applicable law
11. Indemnification #
11.1 Affiliate agrees to indemnify, defend, and hold harmless MyMahotsav Futuretech Ltd, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Affiliate’s participation in the Program

Affiliate’s promotional activities
-
Any breach of this Agreement by Affiliate
-
Any violation of applicable law by Affiliate
-
Any claim that Affiliate’s marketing activities infringe third-party rights
12. MODIFICATION OF AGREEMENT #
12.1 MyMahotsav may modify this Agreement at any time by posting changes on the Affiliate Site or notifying Affiliates by email.
12.2 Continued participation in the Program after changes constitutes acceptance of the modified Agreement. If Affiliate does not agree to changes, they may terminate this Agreement.
13. GOVERNING LAW AND DISPUTE RESOLUTION #
13.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.
13.2 Any dispute arising out of or relating to this Agreement shall be resolved exclusively by binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA). The arbitration shall take place in London, United Kingdom.
13.3 Class Action Waiver: AFFILIATE AND MYMAHOTSAV AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN THEIR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
13.4 For disputes arising from Affiliates in India, the courts in Gurugram, Haryana shall have exclusive jurisdiction for any matters not subject to arbitration.
Part C: Jurisdiction-Specific Addendums #
India Addendum #
Tax Compliance: Indian affiliates must provide their PAN (Permanent Account Number) for tax reporting purposes. TDS may be deducted as applicable under the Income Tax Act.
UK/EU Addendum #
Data Protection: Affiliates processing personal data of EU/UK residents must comply with GDPR. Affiliates are independent data controllers for their marketing activities.
US Addendum #
FTC Compliance: Affiliates must comply with FTC guidelines regarding endorsements and testimonials, including clear disclosure of material connections.
