Special Terms for Certain Users #

Depending on who you are—a U.S. government agency, a school, a financial institution—additional rules may apply. This document contains those industry-specific terms.

These terms supplement the Host Terms: If you fall into one of these categories, these additional terms apply to you.
Government users: Special rules about endorsements, renewals, and dispute resolution.
Educational institutions: Additional protections for student data under FERPA and COPPA.
Financial services: Reminders not to share sensitive financial information through our platform.

Part B: Legal Terms and Conditions #

1. U.S. Government Customers #

1.1 Scope: This Section 1 applies if you are a U.S. federal, state, or local government entity (or if your use of the Services is for or in support of the U.S. government).

1.2 Nature of Services: The Services are a “commercial product,” “commercial service,” and “commercially off-the-shelf (COTS) item” as defined at 48 C.F.R. §2.101, and constitute “commercial computer software” and “commercial computer software documentation” as used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202 to §227.7204.

1.3 Government Rights: This commercial computer software and related documentation is provided to end users for use, by and on behalf of the U.S. Government, with only those rights as are granted to all other end users pursuant to the terms and conditions herein.

1.4 Modifications to Host Terms: The following sections of the Host Terms are waived to the extent they are inconsistent with federal law:

Renewals: Auto-renewal provisions do not apply to U.S. government customers unless explicitly agreed in writing
Customer Indemnification: To the extent prohibited by applicable law
Dispute Resolution & Arbitration: Government entities may be subject to the Contract Disputes Act or other specific procedures
Governing Law & Venue: The laws of England and Wales do not apply; disputes shall be governed by U.S. federal law

1.5 No Endorsement: Utsav Appointments™ agrees not to use Customer’s seals, trademarks, logos, or trade names in any manner that states or implies endorsement by the U.S. government, unless permission has been granted.

2. State or Local Government Customers #

2.1 Scope: This Section 2 applies if you are a state or local government entity (acting in your official capacity).

2.2 Modifications: The following sections of the Host Terms shall not apply to you to the extent your jurisdiction’s law prohibits you from accepting those requirements:

Auto-renewal provisions
Customer Indemnification obligations
Dispute resolution and arbitration provisions
Governing law and venue provisions

2.3 Applicable Law: Your use of the Services shall be governed by the laws of your state, without regard to conflict of laws principles.

3. Education Professionals and Institutions #

3.1 Scope: This Section 3 applies if you are a school, educator, or educational institution using the Services with students.

3.2 Age Restrictions:

3.2.1 Children under the age of 18 may only use the Services under the supervision of their parent/guardian or school/educator.

3.2.2 Children under 13 may not use the Services except as provided by and subject to this Section 3.

3.3 FERPA Compliance:

3.3.1 If you are a U.S. school or educator and want your students to use the Services, you are solely responsible for complying with:

The Family Educational Rights and Privacy Act (“FERPA”)
State and local educational privacy laws
The Children’s Online Privacy Protection Act (“COPPA”)

3.3.2 To the extent Utsav Appointments™ has access to “education records” as defined by FERPA, it shall function as a “school official” with “legitimate educational interests” when fulfilling its responsibilities under the Agreement.

3.3.3 Utsav Appointments™ agrees to:

Comply with its obligations under FERPA
Limit redisclosure of personally identifiable information from education records
Not use education records for any purpose other than providing the Services

3.4 Parental Consent:

3.4.1 You shall notify parents/guardians of the personally identifiable information you will collect and share with us.

3.4.2 You shall obtain parental/guardian consent before students use the Services, in accordance with COPPA and applicable laws.

3.4.3 When obtaining consent, you shall provide parents/guardians with a copy of our Privacy Notice.

3.5 Parental Rights:

3.5.1 You are responsible for:

Verifying the student-parent relationship
Complying with parents’ rights to review personal information
Providing requested information to parents

3.5.2 If you require assistance responding to a parental request, you may contact us at privacy@utsavappointments.com.

3.6 International Schools: If you are located outside the United States, you are responsible for obtaining any required consents or approvals under applicable laws in your jurisdiction.

4. Financial Services Customers #

4.1 Scope: This Section 4 applies if you are a financial institution or other entity subject to financial services regulations (such as GLBA, FINRA rules).

4.2 Security Measures: Utsav Appointments™ maintains a security program that follows industry standards, including guidelines relevant to financial services.

4.3 Sensitive Information: You acknowledge that:

Sensitive financial information (such as account numbers, social security numbers, credit card numbers) is not necessary to use the Services
The Services are not designed to process or store such sensitive information
You shall not (nor permit your Authorized Users to) provide such sensitive financial information to Utsav Appointments™ in connection with your use of the Services

4.4 Data Security: If you inadvertently provide sensitive information, you acknowledge that we will not be liable for any resulting security incidents, and you agree to indemnify us for any claims arising therefrom.

5. Healthcare Customers (HIPAA) #

5.1 Scope: This Section 5 applies if you are a covered entity or business associate subject to the Health Insurance Portability and Accountability Act (“HIPAA”).

5.2 No HIPAA Business Associate Agreement: Utsav Appointments™ does not execute HIPAA Business Associate Agreements (BAAs) and is not designed to process Protected Health Information (PHI).

5.3 Prohibition on PHI: You shall not (nor permit your Authorized Users to) provide any PHI to Utsav Appointments™. This includes:
