Part A: Plain English Summary #

Understanding the Terms We Use #

This document defines key terms used throughout Utsav Appointments™ legal documents. Think of it as a dictionary that helps you understand exactly what we mean when we use certain words.

Part B: Legal Definitions #

Account means a registered account on the Utsav Appointments™ platform, accessible with unique credentials, through which a Host can create and manage Availability, share Booking Links, and access the Services.

Applicable Law means all applicable laws, regulations, ordinances, and governmental orders, whether local, state, national, or international, that govern or may govern the Services or a party’s use thereof, including but not limited to data protection laws, privacy laws, and consumer protection laws.

Authorized User means an individual who is authorized by a Host Entity to access and use the Services under the Host Entity’s account, such as employees, consultants, contractors, or agents.

Availability means the specific dates, times, and duration of time slots that a Host has designated as open for booking by Invitees through the Services.

Booking means a confirmed scheduling of a meeting or appointment between a Host and an Invitee through the Services.

Booking Link means the unique URL generated by the Services that a Host can share with Invitees to allow them to view Availability and schedule Bookings.

Business Day means a day (other than a Saturday, Sunday, or public holiday) on which banks are open for general business in London, United Kingdom.

Confidential Information means any information disclosed by one party to the other, either directly or indirectly, in writing, orally, or by drawings or observation, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

Customer or Host means the individual or Entity that has registered for an Account to use the Services. “Customer” and “Host” are used interchangeably in these documents.

Customer Data means all information, data, text, messages, communications, materials, and other content submitted to the Services by or on behalf of a Customer (including by its Authorized Users and Invitees).

Data Protection Laws means all applicable laws relating to the processing of personal data, privacy, and data security, including but not limited to (where applicable) the GDPR, UK GDPR, CCPA, and India’s Digital Personal Data Protection Act, 2023.

Dispute means any claim, controversy, or dispute (whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory) arising out of or relating to these Terms, the Services, or the relationship between the parties.

Documentation means the user guides, online help, technical documentation, and other materials provided by Utsav Appointments™ to assist Customers in using the Services.

Entity means a company, corporation, partnership, association, trust, governmental organization, or other legal entity.

Fees means the charges payable by a Customer for use of the Services, including any subscription fees, usage fees, or other charges as set forth on the Website or in an Order Form.

Free Account means an Account that provides access to basic features of the Services without charge, subject to any limitations described on the Website.

Host – see “Customer.”

Host Entity means a Customer that is an Entity, as distinguished from an individual Customer.

Intellectual Property Rights means all patents, copyrights, trademarks, trade secrets, and other proprietary rights recognized in any jurisdiction.

Invitee means an individual who (a) has received or is accessing a valid Booking Link made available by a Host; (b) uses such link to schedule a Booking with a Host; or (c) participates in a meeting utilizing the meeting intelligence or recording features of the Services.

Invitee Terms means the terms and conditions applicable to Invitees, as set forth in Document 3.

Meeting Intelligence Services means any features of the Services that utilize artificial intelligence or similar technologies to record, transcribe, summarize, or analyze meetings scheduled through the Services.

Order Form means an online ordering page or written document executed by the parties that specifies the Services to be provided, the Fees, and other related terms.

Paid Account means an Account for which Fees are paid to access premium features of the Services.

Personal Data means any information relating to an identified or identifiable individual that is processed by Utsav Appointments™ on behalf of a Customer in connection with the Services.

Privacy Notice means Utsav Appointments™’ privacy notice, as updated from time to time, which describes how personal information is collected, used, and shared.

Services means the Utsav Appointments™ calendar scheduling and availability sharing platform, including all related features, functionality, and applications provided by Utsav Appointments™.

Term means the duration of a Customer’s subscription to the Services, as set forth in the applicable Order Form or, for Free Accounts, the period during which the Customer maintains an Account.

Terms means collectively all terms, conditions, policies, and addendums governing use of the Services, including the Host Terms, Invitee Terms, Acceptable Use Policy, Privacy Notice, and any other documents incorporated by reference.

Third-Party Applications or TPAs means web-based or mobile applications, integrations, or services that are provided by third parties and interoperate with the Services, such as calendar services (Google Calendar, Outlook) and video conferencing platforms (Zoom, Google Meet).

Utsav Appointments™ means the appointment scheduling service provided by MyMahotsav Futuretech Ltd, a company incorporated under the laws of England and Wales (Company Number 13949925), with its registered office at [Address].

Visitor means an individual who visits the Utsav Appointments™ website but does not have an Account and is not an Invitee accessing a Booking Link.

Website means the Utsav Appointments™ website accessible at appointments.utsavworld.com or such other URL as may be designated by Utsav Appointments™.

Part C: Interpretation Rules #

1.1 Words importing the singular shall include the plural and vice versa.

1.2 References to “including” mean “including without limitation.”

1.3 Headings are for convenience only and do not affect interpretation.

1.4 References to “these Terms” or “this Agreement” mean the entire agreement between the parties, including all documents incorporated by reference.

1.5 In the event of any conflict between these Definitions and any other document, these Definitions shall control for purposes of interpreting defined terms.
