Your Agreement as an Event Organizer #

Welcome to Utsav Pass™! We’re excited to help you sell tickets and manage your events. This agreement explains your responsibilities and our relationship.

The Essentials #

  • You’re in charge: You control your event—dates, pricing, tickets, policies. We provide the tools.

  • You’re responsible for everything event-related: What happens at your event, attendee safety, refunds, and legal compliance are your responsibility.

  • We handle payments: Ticket money goes into your account (minus fees) after the event or as agreed.

  • Follow the rules: Your events must comply with all laws and our policies.

  • Be honest: Don’t mislead attendees about what they’re getting.

  • Have insurance: We strongly recommend public liability insurance.


1. ORGANIZER STATUS AND RESPONSIBILITIES #

1.1 Independent Organizer Status #

1.1.1 You acknowledge and agree that:

  • You are an independent organizer, not an employee, agent, joint venturer, or partner of Utsav Pass™

  • Utsav Pass™ provides technology services only

  • You have sole responsibility for all aspects of your event

1.1.2 Nothing in this Agreement creates any fiduciary, partnership, or employment relationship between you and Utsav Pass™.

1.2 Organizer Representations and Warranties #

You represent and warrant that:

  • (a) You have the legal right, authority, and capacity to enter into this Agreement and to organize the event(s) you list

  • (b) If you are organizing on behalf of an entity, you are authorized to bind that entity

  • (c) All information you provide about your event is accurate, complete, and not misleading

  • (d) Your event and its promotion comply with all applicable laws, regulations, and permits

  • (e) You have obtained all necessary licenses, permissions, and consents (including venue, music licensing, alcohol permits, etc.)

  • (f) Your event does not infringe any third-party intellectual property rights

  • (g) You will honor all tickets sold and fulfill all promises made to attendees

  • (h) You will comply with our refund and cancellation policies as disclosed to buyers

  • (i) You will not engage in fraudulent, deceptive, or unlawful practices


2. EVENT Listing AND TICKET SALES #

2.1 Creating Event Listings #

2.1.1 You are solely responsible for the content of your event listings, including:

  • Event name, description, date, time, and location

  • Ticket types, pricing, and availability

  • Images, videos, and promotional materials

  • Age restrictions, entry requirements, and policies

  • Cancellation and refund policy

2.1.2 Your event Listing must:

  • Be accurate and not misleading

  • Not contain prohibited content (hate speech, illegal activities, etc.)

  • Not infringe third-party rights

  • Comply with all applicable laws

2.1.3 Utsav Pass™ reserves the right to:

  • Review event listings

  • Remove or refuse any Listing that violates these Terms

  • Require modifications to listings

  • Suspend or terminate accounts for violations

2.2 Ticket Pricing and Fees #

2.2.1 You set the ticket prices for your event.

2.2.2 Utsav Pass™ charges fees for its services:

2.2.3 All fees are disclosed in your agreement and on the platform.

2.2.4 You may choose to:

2.3 Ticket Inventory and Sales #

2.3.1 You control ticket inventory, including:

  • Number of tickets available

  • Release dates (early bird, general, etc.)

  • Sales end dates

  • Maximum tickets per buyer

2.3.2 Utsav Pass™ provides real-time inventory tracking. You acknowledge that:

  • Ticket sales are final once processed

  • Over-selling is your responsibility (set accurate inventory)

  • Waitlists (if enabled) are managed through the platform


3. PAYMENTS AND DISBURSEMENTS #

3.1 Collection of Funds #

3.1.1 Utsav Pass™ collects all ticket payments on your behalf.

3.1.2 Funds are held in segregated accounts separate from Utsav Pass™ operating funds.

3.1.3 You acknowledge that Utsav Pass™ is not a bank and funds are not insured by any deposit protection scheme beyond what your bank provides.

3.2 Disbursement Schedule #

3.2.1 Standard disbursement: Net proceeds (gross sales less fees) are paid to you within 5-7 business days after the event ends, subject to:

  • No unresolved disputes or chargebacks

  • Compliance with refund/cancellation policies

  • Verification of bank account details

3.2.2 Rolling disbursement (for recurring organizers): Payments may be made on a regular schedule (weekly/monthly) for ongoing sales.

3.2.3 Holdback: Utsav Pass™ may retain a portion of proceeds (up to 20%) for up to 90 days post-event to cover chargebacks, refunds, or disputes.

3.3 Refunds and Chargebacks #

3.3.1 You are responsible for all refunds issued in accordance with your cancellation policy as displayed to buyers.

3.3.2 When you authorize a refund:

3.3.3 Chargebacks (disputes initiated by buyers through their bank):

  • You are liable for all chargeback amounts plus any fees

  • Utsav Pass™ may deduct chargebacks from future payouts

  • You may contest chargebacks by providing evidence (proof of delivery, policy disclosure, etc.)

3.4 Taxes #

3.4.1 You are responsible for:

  • Determining applicable taxes (GST, VAT, sales tax) on ticket sales

  • Collecting and remitting taxes to appropriate authorities

  • Providing tax-compliant invoices/receipts where required

3.4.2 Utsav Pass™ may, where required by law, collect and remit taxes on your behalf. In such cases, we will provide documentation.

3.4.3 You agree to indemnify Utsav Pass™ for any tax liabilities arising from your failure to comply.


4. EVENT EXECUTION AND SAFETY #

4.1 Your Event Responsibilities #

As Organizer, you are solely responsible for:

Insurance Maintain adequate insurance (public liability, cancellation, workers’ compensation)

4.2 Insurance Requirement #

4.2.1 You are strongly encouraged to maintain appropriate insurance coverage, including:

  • Public liability insurance (minimum £2 million / ₹2 crore recommended)

  • Event cancellation insurance

  • Workers’ compensation (if employing staff)

  • Professional indemnity (for conferences/workshops)

4.2.2 Upon request, you must provide Utsav Pass™ with proof of insurance.

4.2.3 You acknowledge that Utsav Pass™’s insurance does not cover your event.

4.3 Attendee Safety #

4.3.1 You must take reasonable steps to ensure attendee safety, including:

  • Complying with venue capacity limits

  • Providing adequate supervision

  • Addressing hazards promptly

  • Having emergency procedures

4.3.2 You are responsible for injuries or damages occurring at your event to the extent caused by your negligence .

4.3.3 You agree to indemnify Utsav Pass™ for any claims arising from attendee injuries at your event.


5. CANCELLATION, POSTPONEMENT, AND REFUNDS #

5.1 Setting Your Cancellation Policy #

5.1.1 You must select and clearly display a cancellation policy for each event:

5.1.2 Your policy must comply with applicable consumer protection laws.

5.2 If You Cancel the Event #

5.2.1 If you cancel an event entirely (not due to Force Majeure):

  • You must instruct Utsav Pass™ to issue refunds

  • Refunds must include ticket face value

  • Service fees may be refunded at your discretion or as required by law

  • Refunds must be processed within 14 days of cancellation

5.2.2 If you cancel due to Force Majeure:

  • You may offer refunds, credits, or transfers to new dates

  • You are not liable for additional damages (travel, accommodation)

5.3 If You Postpone the Event #

5.3.1 If you postpone to a new date:

  • Tickets typically remain valid for new date

  • You must provide clear communication to ticket holders

  • You must offer refunds to those who cannot attend new date (with reasonable notice period)

5.3.2 If you postpone multiple times, you may be required to offer refunds.

5.4 Refund Processing #

5.4.1 When refunds are due:

  • You notify Utsav Pass™ through organizer dashboard

  • Utsav Pass™ processes refunds to original payment methods

  • Funds are deducted from your available balance or future payouts

  • You remain liable if funds are insufficient

5.4.2 Refund processing fees charged by payment gateways may be non-refundable.


6. ATTENDEE DATA AND PRIVACY #

6.1 When attendees purchase tickets, you receive:

  • Name

  • Email address

  • Ticket type purchased

  • Any information voluntarily provided

6.2 You must:

  • Use attendee data only for event-related communications

  • Not share or sell attendee data to third parties without consent

  • Comply with applicable data protection laws (GDPR, CCPA, India DPDPA, etc.)

  • Provide your own privacy policy to attendees

  • Delete data upon request (subject to legal retention)

6.3 Utsav Pass™ provides tools to manage attendee communications. You agree not to use these tools for spam or unauthorized marketing.


7. PROHIBITED CONTENT AND ACTIVITIES #

7.1 You may not use Utsav Pass™ to list events involving:

  • Illegal activities (including illegal gambling, unauthorized firearms sales, drug paraphernalia)

  • Hate speech, discrimination, or harassment

  • Sexually explicit content (unless age-restricted and lawful)

  • Copyright-infringing materials (unauthorized music performances, screenings)

  • Dangerous activities with unreasonable risk of harm

  • Misleading or deceptive claims

  • Unauthorized fundraising for third parties

  • Any activity that violates applicable law

7.2 Utsav Pass™ reserves the right to remove any event violating these standards and may report violations to authorities.


8. FEES AND PAYMENT TERMS #

8.1 Fee Structure #

8.1.1 Your specific fee structure is detailed in your Organizer Agreement or plan selection.

8.1.2 Standard fees may include:

  • Per-ticket fee (percentage of ticket price)

  • Fixed fee per transaction

  • Monthly subscription fee (if applicable)

  • Add-on service fees

8.1.3 Utsav Pass™ may change fee structures with 30 days’ notice.

8.2 Payment Terms #

8.2.1 All fees are deducted before disbursement.

8.2.2 If your payout balance is negative (due to refunds/chargebacks), you must pay the outstanding amount within 14 days.

8.2.3 Utsav Pass™ may offset any amounts you owe against future payouts.


9. ACCOUNT SUSPENSION AND TERMINATION #

9.1 Utsav Pass™ may suspend or terminate your account for:

  • Material breach of these Terms

  • Fraudulent or deceptive conduct

  • Multiple attendee complaints

  • Chargebacks exceeding thresholds

  • Illegal activities

  • Non-payment of fees

  • Any reason with 30 days’ notice

9.2 Upon termination:

  • All pending payouts will be processed (minus amounts owed)

  • Your events may be removed

  • You must fulfill any outstanding obligations to ticket holders


10. Indemnification #

10.1 You agree to indemnify, defend, and hold harmless Utsav Pass™, MyMahotsav Futuretech Ltd, and their affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your event(s), including any injuries, damages, or losses

  • Any breach of your representations or warranties

  • Any violation of applicable law

  • Any disputes with attendees

  • Any intellectual property infringement

  • Any taxes or fees you fail to pay


PART C: JURISDICTION-SPECIFIC ADDENDUMS #

INDIA ADDENDUM #

GST on Events: You are responsible for GST on ticket sales. Thresholds and rates vary by event type (concerts, conferences, cultural events). Consult a tax professional.

Music Licensing: For events playing music, you may need licenses from copyright societies (IPRS for lyrics/music, PPL for sound recordings).

Local Permits: Many Indian cities require police permissions for public events. Obtain well in advance.

UK ADDENDUM #

Licensing Act 2003: Events with alcohol, regulated entertainment, or late-night refreshment may require premises license or Temporary Event Notice.
