What Utsav Pass™ Is and What We Do #
Utsav Pass™ is a powerful event ticketing platform that helps organizers create, manage, and sell tickets for their events. Think of us as the technology provider—like the tool that makes ticketing possible.
The Most Important Thing to Understand #
WE ARE NOT THE EVENT ORGANIZER.
This distinction matters enormously:

Organizers create events, set prices, decide cancellation policies, and are responsible for everything that happens at the event.

Utsav Pass™ provides the website and tools that make ticketing possible. We handle the technology, not the event itself.
When you buy a ticket through Utsav Pass™, you are entering into an agreement with the Event Organizer (the person or company putting on the event). Utsav Pass™ facilitates the transaction but is not a party to the event itself.
PART B: LEGAL TERMS AND CONDITIONS #
1. PLATFORM DEFINITION AND ROLE #
1.1 Utsav Pass™ is a technology platform operated by MyMahotsav Futuretech Ltd that enables Event Organizers to create, promote, manage, and sell tickets for their events.
1.2 Utsav Pass™ IS NOT:

An event organizer, promoter, producer, or manager

A venue operator or owner

An agent or representative of any Event Organizer

A guarantor of any event’s occurrence, quality, or safety

A principal in any transaction between Organizer and Ticket Buyer
1.3 Utsav Pass™ IS:

A technology service provider
-
A marketplace facilitator
-
A ticketing software platform
-
A payment processing intermediary
1.4 This distinction is fundamental to all relationships on the platform. By using Utsav Pass™, all parties acknowledge and agree to this structure.
2. PARTIES AND RELATIONSHIPS #
2.1 The Utsav Pass™ platform involves three distinct parties:

2.2 No joint venture, partnership, employment, or agency relationship exists between Utsav Pass™ and any Organizer.
2.3 Organizers are independent contractors solely responsible for their events.
3. DISCLAIMER OF WARRANTIES #
3.1 THE PLATFORM AND ALL CONTENT, SERVICES, AND TICKETS MADE AVAILABLE THROUGH THE PLATFORM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
3.2 TO THE FULLEST EXTENT PERMITTED BY LAW, Utsav Pass™ DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement

Warranties that the platform will be uninterrupted, error-free, secure, or virus-free
-
Warranties regarding the accuracy, reliability, or completeness of any event information
-
Warranties regarding the quality, safety, or legality of any event
-
Warranties regarding any Organizer’s performance or conduct
3.3 Utsav Pass™ does not control, endorse, or guarantee any event, Organizer, or venue, and expressly disclaims any liability related thereto.
4. LIMITATION OF LIABILITY #
4.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Utsav Pass™, MYMAHOTSAV FUTURETECH LTD, OR THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages

Any loss of profits, revenue, data, or goodwill

Any damages arising from event cancellation, postponement, or modification
-
Any injuries, damages, or losses occurring at events
-
Any disputes between Organizers and Buyers

Any unauthorized access to or use of data
-
Any claims based on organizer representations
4.2 IN ANY EVENT, Utsav Pass™’S TOTAL LIABILITY TO ANY USER SHALL NOT EXCEED THE TOTAL FEES PAID BY THAT USER TO Utsav Pass™ IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR £100 (whichever is greater).
4.3 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, Utsav Pass™’S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
5. Indemnification #
5.1 Organizers agree to indemnify, defend, and hold harmless Utsav Pass™, MyMahotsav Futuretech Ltd, and their affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

The Organizer’s event, including any injuries, damages, or losses

Any misrepresentations by the Organizer

Any breach of these Terms by the Organizer

Any violation of applicable law by the Organizer

Any disputes between Organizer and Ticket Buyers
5.2 Ticket Buyers agree to indemnify Utsav Pass™ for any claims arising from their violation of these Terms or applicable law.
6. THIRD-PARTY DISPUTES #
6.1 Utsav Pass™ is not responsible for disputes between Organizers and Ticket Buyers.
6.2 Buyers agree to address any event-related complaints directly to the Organizer in the first instance .
6.3 Utsav Pass™ may, at its sole discretion, facilitate communication between parties but assumes no obligation to do so.
6.4 Utsav Pass™ shall have no liability for any claims, damages, or losses arising from such disputes.
7. Force Majeure #
7.1 Utsav Pass™ shall not be liable for any failure or delay in performing its obligations where such failure or delay results from any cause beyond its reasonable control, including but not limited to: acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials .
7.2 This provision applies to platform operations only. Event cancellations due to Force Majeure are governed by the Organizer’s cancellation policy .
8. GOVERNING LAW AND JURISDICTION #
8.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.
8.2 Any dispute arising out of or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts of London, England.
8.3 For disputes involving Organizers or Buyers in other jurisdictions, applicable local law may provide additional rights that cannot be excluded.
PART C: JURISDICTION-SPECIFIC ADDENDUMS #
INDIA ADDENDUM #
Information Technology Act, 2000: Utsav Pass™ is an intermediary under Section 2(w) of the IT Act and is entitled to safe harbor protection under Section 79, provided it complies with due diligence requirements.
Consumer Protection Act, 2019: Organizers are “service providers” and Buyers are “consumers.” Utsav Pass™ is a marketplace facilitator. Consumer disputes must first be directed to Organizer.
Indian Contract Act, 1872: Limitation of liability clauses are enforceable if not unconscionable.
UK ADDENDUM #
Consumer Rights Act 2015: Limitations of liability must be fair and reasonable. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
Unfair Contract Terms Act 1977: Applicable to business-to-business contracts.
EU ADDENDUM #
Directive on Consumer Rights (2011/83/EU) : Consumers have specific rights regarding distance selling. The right of withdrawal DOES NOT APPLY to tickets for leisure events with a specific date .
US ADDENDUM #
State-by-State Variation: Some states do not allow limitation of liability for personal injury. Liability limitations are enforced variably across jurisdictions.
Section 230 Communications Decency Act: Utsav Pass™ is a provider of interactive computer services and shall not be treated as publisher or speaker of Organizer content.
