When Venues List Their Space on Utsav Pass™ #
Utsav Pass™ allows venue operators to list their spaces for event organizers to discover and book. This agreement governs the relationship between Utsav Pass™ and venue operators.
The Simple Truth #

You control your venue: You set availability, pricing, rules, and what’s included.

We connect you with organizers: Utsav Pass™ helps organizers find your venue—we don’t manage it.

You’re responsible for the space: Safety, compliance, staffing, and everything about your venue is your responsibility.

Organizers are your customers: Your contract is with the event organizer. We facilitate the booking.

Fees apply: Utsav Pass™ charges a fee for successful bookings through the platform.

Be accurate: Your venue Listing must be truthful—don’t overstate capacity or features.
⚖️ PART B: LEGAL TERMS AND CONDITIONS #
1. DEFINITIONS #

| Venue | The physical space, facility, or location made available for booking through the Platform |
| Venue Operator | The individual or entity that owns, manages, or has legal authority to book the Venue |
| Venue Listing | The page on Utsav Pass™ describing the Venue, including features, capacity, pricing, and availability |
| Booking | A confirmed reservation of the Venue by an Event Organizer for a specific date and time |
| Booking Fee | The amount paid by the Organizer for use of the Venue |
| Venue Rules | Terms and conditions set by the Venue Operator governing use of the Venue |
2. VENUE OPERATOR STATUS AND RESPONSIBILITIES #
2.1 Independent Operator Status #
2.1.1 You acknowledge and agree that:

You are an independent venue operator, not an employee, agent, joint venturer, or partner of Utsav Pass™
-
Utsav Pass™ provides technology services only

You have sole responsibility for your Venue, including its safety, compliance, and management
2.1.2 Nothing in this Agreement creates any fiduciary, partnership, or employment relationship.
2.2 Venue Operator Representations and Warranties #
You represent and warrant that:

(a) You have the legal right, authority, and capacity to enter into this Agreement and to list the Venue for booking
-
(b) If you are acting on behalf of an entity, you are authorized to bind that entity
-
(c) You own the Venue or have written authorization from the owner to list it
-
(d) All information in your Venue Listing is accurate, complete, and not misleading
-
(e) Your Venue complies with all applicable laws, regulations, and permits (including fire safety, accessibility, zoning, and licensing)
-
(f) You have obtained all necessary insurance coverage for the Venue
-
(g) The Venue is safe for its intended use
-
(h) You will honor all confirmed Bookings and not cancel without valid reason
3. VENUE LISTINGS #
3.1 Listing Content #
3.1.1 Your Venue Listing must include accurate information about:

3.1.2 Images must:

Not be misleading (filters, angles that hide issues)

Be current (not more than 12 months old)
3.1.3 Utsav Pass™ may:

Review listings for accuracy

Request additional information

Remove inaccurate listings
3.2 Availability and Pricing #
3.2.1 You are responsible for:

Keeping your availability calendar up to date
-
Setting accurate pricing
-
Disclosing all additional fees (cleaning, security, overtime)
3.2.2 Double-booking prevention:

You must not accept bookings through other channels for dates already booked on Utsav Pass™
-
If double-booking occurs, you are liable for resulting damages
3.2.3 Pricing changes:
-
You may change prices for future dates at any time
-
Confirmed bookings are honored at the price agreed at booking
4. BOOKING PROCESS #
4.1 How Bookings Work #

Organizer searches for venues matching requirements
-
Organizer requests booking (or instant book if enabled)
-
You confirm booking (or automatic if instant book)
-
Organizer pays booking fee (less applicable taxes)
-
Booking confirmed – calendar blocked
-
You host event according to agreed terms
4.2 Booking Confirmation #
4.2.1 Once a booking is confirmed:

A binding agreement exists between you and the Organizer
-
You must make the Venue available as agreed
-
Organizer must pay as agreed
4.2.2 Cancellation by Organizer:

Governed by your cancellation policy (disclosed in Listing)
-
Refunds processed per policy
4.2.3 Cancellation by You:
-
Should only occur in exceptional circumstances
-
You must notify Organizer immediately
-
You may be liable for Organizer’s damages (relocation costs, etc.)
-
Utsav Pass™ may impose penalties
4.3 Instant Book #
4.3.1 If you enable “Instant Book”:

Bookings are confirmed automatically without your review
-
You must honor all Instant Bookings
-
You may set requirements (verified ID, minimum rating, etc.)
5. FEES AND PAYMENTS #
5.1 Platform Fees #
5.1.1 Utsav Pass™ charges a fee for each successful booking:

6. VENUE SAFETY AND COMPLIANCE #
6.1 Your Ongoing Obligations #
You must ensure the Venue:

6.2 Capacity Limits #
6.2.1 You must:

Never exceed lawful occupancy limits

Enforce capacity during events

Provide capacity certificates upon request
6.2.2 If Organizer exceeds capacity:

You may terminate event

No refund

Report to authorities if required
6.3 Insurance #
6.3.1 You must maintain:

Public liability insurance (minimum £2 million / ₹2 crore)

Property insurance (for your building/assets)

Employer’s liability (if staff)
6.3.2 Proof of insurance must be provided upon request.
7. ORGANIZER AND ATTENDEE CONDUCT #
7.1 Your Right to Enforce Rules #
7.1.1 You may enforce reasonable Venue Rules regarding:

Curfews

Prohibited items

Behavior

Capacity
7.1.2 Rules must be:

Disclosed in your Listing

Communicated to Organizer

Applied consistently

Not discriminatory
7.2 Handling Disruptive Attendees #
7.2.1 You may:

Warn disruptive attendees

Remove individuals violating rules

Terminate event if necessary (extreme cases)

Involve law enforcement if required
7.2.2 If you terminate an event:

Document reasons (photos, witness statements)

Notify Utsav Pass™

No refund to Organizer (unless your fault)
7.3 Damage to Venue #
7.3.1 Organizer is liable for damage caused by:

Their attendees

Their staff/contractors

Their equipment/setup
7.3.2 If damage occurs:

Document with photos

Notify Organizer immediately

Claim against security deposit (if any)

Seek compensation for excess
8. CANCELLATIONS AND REFUNDS #
8.1 Your Cancellation Policy #
8.1.1 You must select a cancellation policy:

| Moderate | Full refund up to 14 days before; 50% up to 7 days; no refund thereafter |

8.1.2 Policy must be prominently displayed.
8.2 Your Cancellation #
8.2.1 If you cancel a confirmed booking (non-Force Majeure):

Organizer receives full refund

You may be charged a cancellation fee (up to [X]% of booking value)

Your Listing may be penalized (lower search ranking)

Repeat cancellations may result in account suspension
8.2.2 Acceptable reasons for cancellation:

Venue becomes unavailable due to circumstances beyond control

Organizer provided materially false information

Illegal activity planned
8.3 Force Majeure #
8.3.1 If Force Majeure prevents the booking:

Both parties released from obligations

Organizer receives full refund (minus non-recoverable fees)

No penalties to either party
8.3.2 Documentation may be required.
9. DISPUTES #
9.1 Between Venue and Organizer #
9.1.1 If dispute arises:

Direct negotiation (attempt resolution)

Utsav Pass™ mediation (we facilitate)

Independent mediation (if agreed)

Legal action (last resort)
9.1.2 Utsav Pass™ may:

Review evidence

Make non-binding recommendations

Temporarily hold funds

Suspend accounts in serious cases
9.2 Liability Limitation #
9.2.1 Utsav Pass™ is not liable for:

Disputes between Venue and Organizer

Injuries or damages at the Venue

Organizer’s failure to comply with rules

Venue’s failure to meet expectations
9.2.2 Our maximum liability is the fees paid by you in the last 12 months.
PART C: JURISDICTION-SPECIFIC ADDENDUMS #
INDIA ADDENDUM #
Shops and Establishments Act: Venues may need registration under state-specific Act.
Fire Safety: Fire NOC mandatory for public venues.
Liquor Licensing: If Venue allows alcohol, appropriate licenses required.
GST: Venue rental may attract GST (check current rates).
UK ADDENDUM #
Licensing Act 2003: Venues used for regulated entertainment may need premises license.
Fire Safety Order 2005: Venue Operator is “responsible person” under the Order.
Disability Discrimination: Equality Act 2010 requires reasonable adjustments.
US ADDENDUM #
ADA Compliance: Venues must meet ADA accessibility standards.
State and Local Regulations: Vary significantly—check local requirements.
Liquor Liability: Many states have “dram shop” laws holding venues liable for over-serving.
EU ADDENDUM #
Country-Specific: Each member state has its own venue regulations.
Accessibility: European Accessibility Act requirements apply.
