Part A: Plain English Summary #

Welcome to Utsav Projects! #

Utsav Projects is a collaborative project management tool designed to help community members, temple groups, NGOs, and organizations work together on meaningful initiatives. Whether you’re planning a festival, renovating a temple, or organizing a community event, Utsav Projects provides the tools to track tasks, manage timelines, and collaborate effectively.

The Simple Truth #

We Provide the Tools, You Do the Work: Utsav Projects gives you powerful features to manage your projects—but your project’s success is up to you and your team. We don’t guarantee that projects will be completed on time or at all .
Beta Phase Service: Utsav Projects is currently in beta. This means you may experience occasional downtime, bugs, or interruptions. We’re working hard to improve, but we can’t promise perfect reliability .
You Own Your Data: All content you create within your projects—tasks, files, discussions—belongs to you. We simply host it for you .
No Liability for Outcomes: If a project misses a deadline, a team member doesn’t deliver, or collaboration breaks down, that’s between you and your team. We’re not responsible .
Integrations Are Third-Party: Connections to GitHub, Bitbucket, Slack, and other services are provided for your convenience. We don’t control these services and aren’t responsible for their performance .

Part B: Legal Terms and Conditions #

1. ACCEPTANCE OF TERMS #

1.1 These Utsav Projects Terms of Service (“Terms”) govern your access to and use of the Utsav Projects collaborative project management software, including all associated features, functionality, and integrations (collectively, the “Service”).

1.2 By accessing or using the Service, including creating a project, inviting members, or uploading content, you agree to be bound by these Terms and all policies incorporated herein .

1.3 If you are using the Service on behalf of an organization, temple, NGO, or other entity, you represent and warrant that you have full legal authority to bind that entity to these Terms .

1.4 If you do not agree to these Terms, you must immediately cease using the Service.

2. DEFINITIONS #

Term	Definition
Service	The Utsav Projects collaborative project management software, including all features, tools, and integrations
Project	A workspace created by a user to organize tasks, files, discussions, and collaboration around a specific initiative
Project Creator	The user who establishes a Project and has primary administrative control
Project Member	Any user who is invited to and participates in a Project
User Content	All data, files, documents, tasks, discussions, and other materials uploaded or created within the Service by users
Beta Service	A version of the Service that is still in development and may contain bugs, errors, or incomplete features

3. BETA SERVICE ACKNOWLEDGMENT #

3.1 Beta Status: You acknowledge that Utsav Projects is currently provided as a beta service. This means the Service may not be complete, may contain bugs or errors, and may not function as intended .

3.2 No Uptime Guarantees: THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM DEFECTS. SCHEDULED AND UNSCHEDULED INTERRUPTIONS MAY OCCUR .

3.3 Scheduled Maintenance: We may perform scheduled maintenance during off-peak hours. We will attempt to provide advance notice, but are not obligated to do so .

3.4 Unscheduled Interruptions: In the event of unscheduled interruptions, we will apply reasonable resources to resolve problems and restore service as soon as possible .

3.5 Improvement and Modification: We may modify, update, add, or remove features at any time without notice. We are not liable to you or any third party for any such modifications .

4. ELIGIBILITY AND ACCOUNT REGISTRATION #

4.1 Age Requirement: You must be at least 18 years of age to use the Service. If you are under 18, you represent that a parent or legal guardian has reviewed and agrees to these Terms on your behalf .

4.2 Registration: To use the Service, you must register for an account using accurate, current, and complete information. You agree to update your information as necessary to maintain its accuracy .

4.3 Account Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@utsavprojects.com of any unauthorized use .

4.4 One Account Per User: You may maintain only one account. Multiple accounts for the same individual may result in termination.

5. INTELLECTUAL PROPERTY RIGHTS #

5.1 Service Ownership: The Service, including all software, code, features, functionality, and underlying technology, is the sole and exclusive property of MyMahotsav Futuretech Ltd and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws .

5.2 User Content Ownership: You retain all right, title, and interest in and to any User Content you create, upload, or store within the Service. We do not claim ownership over your content .

5.3 License to Operate: By using the Service, you grant us a worldwide, royalty-free, non-exclusive license to host, store, reproduce, modify (for technical purposes), and display your User Content solely as necessary to operate and provide the Service .

5.4 No Transfer of Rights: Nothing in these Terms transfers any intellectual property rights from us to you or from you to us, except as expressly stated .

6. USER RESPONSIBILITIES AND PROHIBITED CONDUCT #

6.1 Lawful Use: You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations .

6.2 Prohibited Conduct: You agree NOT to:

Unauthorized Access	Attempting to bypass security measures; accessing accounts you do not own; sharing credentials
System Interference	Introducing viruses, malware, or harmful code; overloading the Service; disrupting other users
Intellectual Property	Uploading content you do not own or have permission to use; infringing third-party rights
Commercial Exploitation	Using the Service for unauthorized commercial purposes; reselling access
Reverse Engineering	Decompiling, disassembling, or reverse engineering any part of the Service

6.3 Project Member Conduct: Project Creators are responsible for ensuring that all Project Members comply with these Terms. You agree to take appropriate action if any member violates these Terms.

7. PROJECT MANAGEMENT AND COLLABORATION #

7.1 Project Creator Authority: The Project Creator has the authority to manage the Project, including inviting and removing members, setting permissions, and controlling Project settings.

7.2 Member Responsibilities: Project Members agree to:

Contribute in good faith to Project activities
Respect the decisions of the Project Creator
Not misuse or abuse access privileges
Maintain confidentiality of sensitive Project information as reasonably expected

7.3 No Guarantee of Success: WE DO NOT GUARANTEE THAT ANY PROJECT WILL BE COMPLETED SUCCESSFULLY, ON TIME, OR WITHIN BUDGET. PROJECT SUCCESS DEPENDS SOLELY ON THE EFFORTS OF PROJECT MEMBERS .

7.4 Disputes: We are not responsible for resolving disputes between Project Creators and Project Members, or among Project Members. Such disputes are solely between the parties involved.

8. THIRD-PARTY INTEGRATIONS #

8.1 Integration Availability: The Service may offer integrations with third-party services such as GitHub, Bitbucket, Slack, and others. These integrations are provided for your convenience .

8.2 No Control: We do not control, operate, or endorse any third-party services. Your use of such services is governed by their own terms and policies.

8.3 No Liability: WE ARE NOT LIABLE FOR ANY CLAIMS, DAMAGES, OR LOSSES ARISING FROM YOUR USE OF THIRD-PARTY INTEGRATIONS, INCLUDING SERVICE INTERRUPTIONS, DATA LOSS, OR SECURITY BREACHES ON THOSE PLATFORMS .

8.4 Integration Changes: Third-party services may change their APIs, terms, or availability at any time. We may need to modify or discontinue integrations in response, without liability to you.

9. DATA STORAGE AND BACKUPS #

9.1 User Responsibility: You are solely responsible for maintaining backup copies of any important User Content. The Service is not a backup solution .

9.2 Our Backup Practices: We use commercially reasonable practices, including redundancy and backup procedures, to minimize loss of User Content. However, WE DO NOT WARRANT OR GUARANTEE THAT DATA LOSS WILL NOT OCCUR .

9.3 Data Loss Remedy: In the event of data loss, our sole and exclusive obligation is to use reasonable efforts to provide you with the most recent backup of your User Content .

10. DISCLAIMER OF WARRANTIES #

10.1 AS IS BASIS: THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED .

10.2 WARRANTIES DISCLAIMED: TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
Warranties that the Service will be uninterrupted, error-free, secure, or virus-free
Warranties regarding the accuracy, reliability, or completeness of any content or data
Warranties that any specific level of performance or functionality can be achieved

10.3 Beta Service: FOR BETA SERVICES, THE WARRANTY DISCLAIMERS ARE EXPRESSLY ENHANCED. BETA SERVICES ARE PROVIDED WITH ALL FAULTS AND WITHOUT ANY WARRANTY WHATSOEVER .

11. LIMITATION OF LIABILITY #

11.1 NO CONSEQUENTIAL DAMAGES: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MYMAHOTSAV BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR USE OF THE SERVICE .

11.2 TYPES OF DAMAGES EXCLUDED: THIS EXCLUSION INCLUDES, WITHOUT LIMITATION:

Loss of profits, revenue, or business opportunities
Loss of data or content
Loss of goodwill or reputation
Project delays or failures
Costs of substitute services
Any claims based on user conduct or content

11.3 CAP ON LIABILITY: OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU (IF ANY) FOR USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. FOR FREE SERVICES, OUR TOTAL LIABILITY SHALL NOT EXCEED £100 (OR EQUIVALENT IN LOCAL CURRENCY) .

11.4 APPLICABILITY: These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages .

11.5 EXCEPTIONS: Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law .

12. Indemnification #

12.1 You agree to indemnify, defend, and hold harmless MyMahotsav Futuretech Ltd, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use of the Service
Your User Content
Your violation of these Terms
Your violation of any applicable law
Any claims that your User Content infringes third-party intellectual property rights

12.2 We reserve the right to participate in the defense of any such claim and to be represented by counsel of our choice .

13. TERMINATION #

13.1 By You: You may terminate your account at any time through your account settings. Upon termination, you will lose access to all User Content.

13.2 By Us: We may suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason .

13.3 Effect of Termination: Upon termination:

Your access to the Service ceases immediately
We may delete your User Content after 30 days
Sections that by their nature should survive (intellectual property, Indemnification, limitations of liability) will survive

13.4 Data Export: Before termination, you are responsible for exporting any User Content you wish to retain. We may provide tools to assist with data export, but are not obligated to do so.

14. Force Majeure #

14.1 Except for payment obligations, neither party shall be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials .

15. GOVERNING LAW AND DISPUTE RESOLUTION #

15.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles .

15.2 Informal Resolution: Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at disputes@utsavprojects.com. We will attempt to resolve the dispute within 30 days.

15.3 Arbitration: Any dispute arising out of or relating to these Terms that cannot be resolved informally shall be resolved exclusively by binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA). The arbitration shall take place in London, United Kingdom .

15.4 Class Action Waiver: YOU AND MYMAHOTSAV AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15.5 Jurisdiction for India: For disputes arising from Users in India, the courts in Gurugram, Haryana shall have exclusive jurisdiction for any matters not subject to arbitration.

16. MODIFICATION OF TERMS #

16.1 We may modify these Terms at any time by posting changes on our website or notifying you by email .

16.2 Continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to changes, you must terminate your account.

Part C: Jurisdiction-Specific Addendums #

India Addendum #

IT Act, 2000: Utsav Projects is an intermediary under Section 2(w) and complies with due diligence requirements under the IT Rules, 2021.

UK/EU Addendum #

GDPR: For EU/UK residents, personal data is processed in accordance with GDPR. See our Data Processing Addendum for details.

US Addendum #

Section 230: Utsav Projects is a provider of interactive computer services and shall not be treated as the publisher or speaker of any information provided by another information content provider.
